Kaare G. Foy, B.Ec, Chairman of the Board, - Director
Mr. Foy has more than 30 years’ experience in senior management and board roles for both public and private companies in Australia, Canada, and the United Kingdom. In 1994 he became a director of Great Panther Silver Limited, a public company listed on the main board of the Toronto Stock Exchange and NYSE MKT, with silver producing operations in Mexico. Until 2012 he was the Executive Chairman of Great Panther Silver a role he held since 2003. During his time as Executive Chairman Great Panther’s capitalization reached US$600 million.
Mr. Foy holds a Bachelor of Economics degree from Monash University in Australia, and became an Associate of Australian Society of Accountants and a Member of the Australian Institute of Directors. He was previously chairman of Polar Star Mining Corporation, a public company listed on the main board of the Toronto Stock Exchange. Mr. Foy received the Queen Elizabeth Diamond Jubilee Medal for Outstanding Public Service in 2013.
Jim MacKenzie, President & CEO, - Director
Mr. Jim MacKenzie serves as the Chief Executive Officer/President of Viscount Mining Corp. and was the founder in 2010. Jim has led the development of numerous Joint Venture mining agreements, land acquisitions, and exploration contracts.
Mr. MacKenzie is skilled in the development, structure, and operation and financing of both private and public companies with a successful track record of raising equity and project capital. He has consistently demonstrated strong results through strategic planning, quality acquisitions and partnerships.
Derick Sinclair, B.Comm, CA, - Chief Financial Officer
Mr. Derick Sinclair has been the Chief Financial Officer of Viscount Mining Corp since 2011. Derick has more than 25 years' experience in accounting and financial management.
Mr. Sinclair began his accounting career in 1982 as an Auditor with KPMG Peat Marwick Thorne. Mr. Sinclair joined BC Rail, Canada's third largest railway, as a Treasury Analyst in 1985. He progressed through BC Rail's Finance department and since 1992; he served as its Manager of General Accounting. He served as a Director of Fleet Management for BC Rail, Ltd. from December 1992 to March 1996. Derick has been a Member of the Institute of Chartered Accountants of British Columbia since 1985. Mr. Sinclair received a Bachelor’s Degree in Commerce from the University of Windsor, Canada in 1982.
William Macdonald, BA, LLB, – Corporate Secretary, Director
Mr. William L. Macdonald is Founder and Principal of Macdonald Tuskey, Corporate and Securities Lawyers, a boutique securities and corporate finance firm located in Vancouver, British Columbia. Mr. Macdonald serves as Corporate Secretary of Viscount Mining Corp and has been a Director since October 2011. From February 1998 to April 2008, he was a Partner at Clark Wilson LLP. He was also a Member of Clark Wilson LLP’s corporate finance and securities and corporate commercial practice groups.
Mr. Macdonald has a varied practice, focusing on cross-border and international corporate finance, securities and transactional matters. His areas of practice include corporate finance, securities, and corporate commercial. He advises clients who are listed on NASDAQ, OTCBB, TSE, and the TSX Venture Exchange with respect to regulatory requirements and filings; public and private companies effecting equity and convertible debt financings; and clients on matters relating to acquisitions, mergers, takeovers, initial public offerings, secondary financings, public company disclosure requirements, and stock exchange practice.
He has been a Member of the Law Society of British Columbia since February 1999, the New York State Bar since 2002, and the Vancouver Bar Association. He was called to the British Columbia Bar in February 1999, and was admitted to practice in New York in March 2002. Mr. Macdonald obtained a B.A. degree in Political Science from Simon Fraser University in 1993 and a Bachelor of Laws degree from the University of Western Ontario in 1997. He also completed the Canadian Securities Course in 1997.
Andrew Gertler, B.Comm, MBA, - Director
Mr. Gertler has over 20 years of business experience in the areas of Private Equity, Distressed Debt and Real Estate, with many successfully completed transactions. Mr. Gertler has been an Independent Director of Viscount Mining Corp. since July 2013. Mr. Gertler was been Principal of Lester Asset Management from July 2006 until July 2010 and remains an agent of Lester Asset Management, continuing to service its clients. Since 2004 Mr. Gertler has acted as a consultant, specializing in public and private market transactions including listing companies on public exchanges, cross border transactions, raising financing and advising on mergers and acquisitions. From April 2001 to April 2004, Mr. Gertler served as the Managing Director of Gestion Jean-Paul Auclair Inc., a private equity firm. Prior to Gestion Jean-Paul Auclair, he served as the Senior Vice President and Director of Hudson Advisors Canada, an asset management firm, which he joined in April 1997.
Mr. Gertler has been called upon to share his business expertise on a consulting basis by many companies which went on to be notable successes. He been a member of the Board of Directors of numerous public and private Companies. Mr. Gertler holds a Bachelor of Commerce from McGill University and an M.B.A. from the Richard Ivey School of Business at The University of Western Ontario.
Honourable Grant Devine, B.Sc., M.Sc., M.B.A., Ph.D., P.Ag., FAIC., SOM, - Director
Dr. Devine has had a distinguished career in academics, business and was a member of the Provincial Parliament of Saskatchewan for nearly 13 years. He served as Premier of Saskatchewan from May 1982 to November 1991. Since his retirement from government Dr. Devine has served on a number of boards, including Agrium Inc. where he was the Chairman, Environment, Health & Safety Committee and Member, Corporate Governance Committee. Dr. Devine received the Queen Elizabeth II Diamond Jubilee Medal for Outstanding Public Service in December 2012 and the Saskatchewan Order of Merit in 2009. Since 1976, Dr. Devine has addressed business; academic and political leaders worldwide and was a Key First Minister participant in the Canada-United States Free Trade Agreement (FTA). Dr. Devine is a Fellow of the Agriculture Institute of Canada and he has participated as a Canadian Premier in various aspects of the GATT negotiations in Brussels and Geneva as well as mandated various international development projects undertaken by the Government of Saskatchewan.
Born in Regina, Saskatchewan, he received a B.Sc. in Agriculture degree specializing in Agricultural Economics from the University of Saskatchewan and M.Sc. specializing in Agricultural Economics from the University of Alberta, an MBA from the University of Alberta, and a Ph.D in Agricultural Economics from Ohio State University.
Mark Abrams, BSc., MSc. - Director, Technical Advisor
Mr. Abrams has more than 30 years of domestic and international mineral exploration experience. Most recently, he was responsible for exploration and acquisitions in the United States for Golden Predator Corp., prior to which he worked for 12 years for Agnico-Eagle (USA) Ltd., where he led his exploration team to a gold discovery in northeastern Nevada. Mr. Abrams has designed, initiated and conducted advanced project evaluations and acquisitions in the in United States, Mexico, Honduras, Guatemala, Chile, Argentina, Canada, China and Indonesia, including the acquisition of and first exploration work on the Donlin Creek project in Alaska for Placer Dome. He conducted exploration work over 18 years for Placer Dome within the Cortez joint venture and Bald Mountain mine properties. He was responsible for acquiring the lands now occupied by portion of the Pipeline mine and was involved in the early exploration work on the deposit. Mr. Abrams is experienced in creating and managing programs and budgets ranging from $100,000 to $15,000,000, and holds a BSc. in Geology and MSc. in Geology from Eastern Washington University.
Dr. James P. Robinson, B.S., M.S., Ph.D. – Senior Technical Advisor
Dr. Robinson has over 35 years of experience as a professional geologist, including approximately 30 years in precious metal exploration. Most of his mineral experience has focused on frontier and early-stage exploration in the eastern and southern Basin and Range of Nevada and Utah. This included managing successful exploration programs for Alta Gold Company, Pilot Gold Company, DNI Metals, and Battle Mountain Exploration Company. Dr. Robinson was instrumental in the development of the Alta Gold Griffon Mine from grassroots discovery through production and the Alta Gold Kinsley Mine from development drilling to the discovery of several satellite deposits.
Dr. Robinson was a senior consulting geologist for Summit Mining Exploration, Inc., a wholly owned subsidiary of Sumitomo Corporation and was involved with all aspects of the initial two-year evaluation program of Viscount Mining's Cherry Creek property. His responsibilities included comprehensive geologic mapping, geochemical sampling, drill target generation, drilling supervision, and subsurface interpretations.
Dr. Robinson holds a Ph.D. in Geological Sciences from Cornell University, an M.S. in Geology from the University of Southern California, and a B.S. in Geology from Ohio University. He is a Registered Professional Geologist in the states of Utah, Idaho, and Arizona.
Dallas W. Davis, MA, P.Eng. - Independent Advisor, Qualified Person
Mr. Davis brings over 40 years of global professional expertise as a geologist and consultant to the mining industry during which, he has participated in several notable discoveries. He has provided his professional services to mining and mineral exploration companies in the areas of mineral prospect evaluation, planning and execution of exploration programs for diamonds, gold and other metallic minerals as well as providing corporate strategy and negotiation of agreements with national and regional governments. Over the years he has worked on assignments in more than 20 countries, including 5 years based in Malaysia. Throughout his career he has served with a number of public sector organizations reviewing and developing policies for mineral tenure and royalty/taxation systems.
He fulfilled a 3 year term as manager of an international development agency assistance program to the Thai Department of Mineral Resources and assisted in the valuation of assistance programs to Zimbabwe as well as advising on agreements with a number of transnational corporations in both western and developing nations. In recent years Mr. Davis operates the Dalmin Corporation as a consultancy to both private and public sector clients. During his career his accomplishments included the discovery of an ore zone that extended the Falconbridge Wesfrob mine life by 5 years, participated in the discovery of the second potash mine to be opened in New Brunswick (NB), development of a potash leasing-royalty policy, revision of the NB Metallic Minerals Tax Act, negotiation of a $11.3 million Canada-NB mineral development agreement, and, ore process research and piloting initiatives to improve the economic viability of Bathurst base metal deposits. He graduated with a BSc (geology) in 1965 from the University of New Brunswick, Canada and with an MA (geology) in 1966 from The Johns Hopkins University, Baltimore, MD. He is a member of the Association of Professional Engineers and Geoscientists of the Province of New Brunswick/APEGNB (P. Eng.), and sits on the board of the APEGNB Foundation for Education Inc. and has published 26 papers and publications to-date.
