Quebec Nickel Corp (CSE:QNI, OTCQB:QNICF) has said it is arranging a private placement for gross proceeds of up to C$10 million, with the offering to be led by EMD Financial Inc.

The company said the offering includes up to C$5 million of units at a price of C$0.20 per unit, adding that the proceeds will be used for general working capital purposes.

Revive Therapeutics Ltd (CSE:RVV, OTCQB:RVVTF) announced today that it will submit the Type C meeting request package to the U.S. Food & Drug Administration by mid-December 2022, which will outline the overall development plan and Pre-Dose selection data supporting the latest revised endpoints for the company’s Phase 3 clinical trial to evaluate the safety and efficacy of Bucillamine, an oral drug with anti-inflammatory and antiviral properties, in patients with mild to moderate COVID-19. Following the submission of the Type C meeting request package, the company expects to hear from the FDA on a firm date for the meeting.

Wellteq Digital Health Inc. (CSE:WTEQ, OTCQB:WTEQF) announced that its shareholders have approved the plan of arrangement with Advanced Human Imaging Ltd (AHI), whereby AHI will acquire all of the outstanding shares of wellteq as announced in its news release dated September 2, 2022. At the special meeting of the wellteq shareholders held on November 24, 2022, the Plan of Arrangement was approved by 100% of the votes cast. Under the terms of the agreement, wellteq shareholders will receive one AHI ordinary share for every six wellteq common shares held. Closing of the transaction is expected to occur in early December 2022, subject to obtaining a final order of the Supreme Court of British Columbia and the satisfaction of other customary conditions.

Graphene Manufacturing Group Ltd (TSX-V:GMG, OTC:GMGMF) said it has filed its amended audited financial statements for the years ended June 30, 2022 and 2021 in order to amend its audited annual statements filed on SEDAR on September 29 this year. The amended statements have been filed to include an unmodified auditor's report to reflect that the statements have been audited in accordance with Canadian generally accepted auditing standards. They have also been updated with a current date of authorization and thus changes have been made to the disclosures for going concern and subsequent events. Other than these disclosure updates, no other changes have been made to the amended financial statements. GMG is an Australian-based clean-tech company, which produces graphene and hydrogen by cracking methane (natural gas) instead of mining graphite.

ORAGIN Foods Inc. (TSX-V:OG, OTCQX:OGGFF)'s announced that its part-time chief financial officer has resigned, and the company has allocated resources to manage the transitional period until a replacement chief financial officer is hired. As disclosed on Nov. 23, 2022, in connection with the resignation of the company's independent directors, the company's directors and officers indemnity insurance (the D&O insurance), which was scheduled for renewal, could only be renewed with certain limitations related to and as a result of the notices and related circumstances, and the company believes that the chief financial officer has tendered his resignation as a result, consistent with the resignations of the independent directors. Matt Lurie, president and chief executive officer, remains as the company's sole director and officer, the company said. "As the company navigates through this transitional period, we remain committed and excited about the future and the tremendous efforts and advancements being made by our operating teams. We are focused on repopulating the positions and roles within the company to meet the requirements of the exchange and the vision of the company moving forward," said Lurie.
