First Graphene expands US footprint with acquisition of MITO Material Solutions

First Graphene Ltd (ASX:FGR, OTCQB:FGPHF, FRA:M11) has struck a deal to acquire the assets, intellectual property and product portfolio of US-based MITO Material Solutions, a move that significantly broadens its graphene technology offering while establishing a direct commercial platform in the world's largest advanced materials market.

First Graphene will acquire MITO's product lines, manufacturing equipment, client agreements and intellectual property under an agreement valued at A$850,000, comprising A$275,000 in cash and up to A$575,000 in performance-linked shares.

The acquisition expands First Graphene's capabilities beyond its PureGRAPH® product range into graphene oxide, hybrid graphene additives and functionalised nanomaterial technologies used across composites, coatings, resins and advanced materials applications.

"The acquisition of MITO Material Solutions assets represents a transformational push into the USA market for First Graphene, immediately expanding the company's product portfolio further into graphene oxide and functionalised graphene technologies — two rapidly emerging segments of the advanced materials market," First Graphene managing director and CEO Michael Bell said.

“Combined with our existing PureGRAPH® technologies, this acquisition creates one of the broadest and most advanced graphene product portfolios globally.”

Broader product offering and established customers

The acquisition adds MITO's E-GO®, LIGRA, OMEGA and DELTA product lines to First Graphene's portfolio, covering thermoset, thermoplastic and composite materials, coatings, liquids, resins and nanomaterial additives.

Importantly, the deal also brings an established customer base and commercial revenue stream.

MITO's technologies are already used by a number of premium US sporting goods brands, including ski manufacturers Parlor Skis and Folsom Custom Skis, along with fishing equipment maker St. Croix Rods. The products use graphene-enhanced additives to improve strength-to-weight ratios, durability, responsiveness and overall performance.

First Graphene said the acquisition also delivers a pipeline of more than 25 clients currently engaged in late-stage testing programs across multiple sectors, providing opportunities for future commercial growth.

The company noted that MITO's technologies have already undergone eight years of research and development, resulting in market-ready products that can be manufactured and sold immediately.

Defence and aerospace opportunities

A key attraction of the deal is the enhanced exposure it provides to US defence and aerospace markets.

First Graphene said functionalised graphene and graphene oxide technologies are increasingly being recognised as enabling materials in defence applications because of their ability to improve mechanical performance, conductivity, durability and multifunctionality in advanced materials systems.

The company pointed to growing interest from the US Department of Defense and the Defense Advanced Research Projects Agency (DARPA) in graphene-enhanced composite structures, thermal management systems, advanced energy materials and next-generation survivability technologies.

The acquisition complements several existing initiatives within First Graphene's portfolio, including graphene-enhanced composites, carbon fibre technologies, conductive materials and its partnership with Halocell focused on perovskite solar technologies for drone applications.

Bell said the MITO transaction strengthens the company's ability to address multiple high-growth sectors.

"The addition of graphene oxide and functionalisation capabilities significantly strengthens our ability to deliver next-generation performance additives across defence, aerospace, composites, coatings, polymers and energy applications," he said.

Performance-based acquisition structure

The transaction has been structured around performance milestones, with most of the consideration tied to future sales generated by the acquired business.

Up to A$575,000 of the purchase price will be paid in two tranches of First Graphene shares, linked to revenue targets achieved during the first two years following completion. The share payments remain subject to shareholder approval, with cash payable instead if approval is not obtained.

First Graphene said the acquisition creates one of the broadest graphene product portfolios in the industry and provides a direct pathway into the US advanced materials, aerospace and defence markets as it seeks to accelerate commercial adoption of graphene-enhanced technologies globally.
