AuKing Mining advances Cloncurry acquisition, boosts funding base in September quarter

AuKing Mining Ltd (ASX:AKN) has outlined a period of steady progress across its gold, copper and critical minerals portfolio in its September quarterly report, highlighting key financing milestones and continued momentum on its proposed acquisition of the Cloncurry Gold Project in Queensland.

Cloncurry acquisition takes shape

The company executed a binding heads of agreement to acquire all shares in Orion Resources Pty Ltd in two stages: an accelerated $5 million earn-in for an initial 50%, followed by a $16.3 million scrip-based acquisition of the remaining half. AuKing has sought ASX confirmation that the deal will not trigger a full re-compliance process and plans to seek shareholder approval before issuing new shares to Orion investors.

The Cloncurry portfolio spans 447 square kilometres and includes the Lorena gold processing plant, the Mt Freda and Golden Mile deposits and several granted mining leases. Orion aims to restart mining and processing at Lorena and create a regional gold-copper hub.

To underpin the purchase, US-based Nebari Natural Resources Credit Fund II LP completed due diligence on an $8 million senior secured facility. AuKing also intends to launch a substantial entitlement offer to existing shareholders in line with the Orion share-issue price.

Strengthened balance sheet

During the quarter the company secured a $5 million loan facility with London-based RiverFort Global Capital Ltd, drawing an initial $500,000. The funds are earmarked to support the Cloncurry transaction and future development work.

AuKing also completed the second tranche of its July placement, raising an additional $497,000 to bring total proceeds to about $1.18 million. The placement included free-attaching options and director participation of roughly $150,000, following shareholder approval at an extraordinary general meeting on August 15.

Proceeds were used to retire a short-term loan from GAM Company Pty Ltd, advance the Cloncurry acquisition and provide working capital.

At September 30, AuKing held $56,000 in cash, supported by the undrawn RiverFort facility. The company said it expects to bolster liquidity through the upcoming rights issue and remains confident of meeting its objectives.

Project activity across portfolio

  • Koongie Park (WA): Joint-venture partner Cobalt Blue Holdings Ltd (ASX:COB, OTC:CBBHF) continued advancing the copper-zinc-cobalt project, building on a June scoping study that outlined a pre-tax net present value of A$172 million and internal rate of return of 28%. Follow-up work is targeting expanded processing options and high-impact discoveries such as Sandiego North.
  • Myoff Creek (Canada): A helicopter-borne survey confirmed and possibly extended carbonatite-hosted niobium-rare-earth mineralisation, opening new exploration targets in central and southern tenements.
  • Tanzania uranium projects: AuKing completed the $300,000 sale of two non-core Mkuju licences to Gage Capital and continued regulatory steps for the earlier sale of its Manyoni licences to Moab Minerals Ltd.

The company also finalised its exit from a Saudi Arabia joint venture with Resource Mining Corporation Ltd.

Outlook

AuKing said the September quarter delivered meaningful progress on financing and portfolio rationalisation, positioning the company for its next growth phase as it advances the Cloncurry acquisition and maintains exposure across gold, copper, niobium, rare earths and uranium.
