Silver X Mining Corp said it has closed the third and final tranche of its previously announced non-brokered private placement offering with the placement of a total of 8,600,750 units for aggregate gross proceeds of $2,580,225. Under the third and final tranche, the company sold an additional 1,384,000 Units at a price of $0.30 per unit for additional gross proceeds of $415,200. On June 5, 2023, the company announced the closing of the first tranche of the offering with proceeds of $1,263,015 and on June 28, 2023, the company announced the closing of the second tranche of the Offering with proceeds of $902,010. The company intends to use the net proceeds from the offering for capital expenditures and exploration related to the Nueva Recuperada Silver District in Peru and potential acquisitions of assets.

Bioharvest Sciences Inc said it has arranged a non-brokered private placement of convertible notes for proceeds of $4,625,102.87. The funds raised will predominantly support the company's growth in its polyphenols/antioxidants vertical. The funds will also support the research and development program for potentially providing APIs to the pharmaceutical industry on the basis of its botanical compositions. The convertible notes are denoted in Canadian dollars, have a 12-month term and pay interest of 9% per annum. The convertible notes are convertible as to principal and accrued interest at the option of the holder into common shares of the company at a conversion price of 20 cents per share.

Auxico Resources Canada Inc said it has granted 2.7 million stock options to officers, directors and consultants to the company. These options have a strike price of 30 cents, no vesting period and an expiry date of July 6, 2028.

Phunware Inc said it made an inducement grant to Troy Reisner in connection with his employment as Phunware’s new chief financial officer, effective June 2, 2023. The company’s board has granted Reisner an aggregate of 600,000 restricted stock units (RSUs) under the inducement plan. The grant was included in Reisner’s employment agreement. The restricted stock units granted are subject to a vesting schedule commencing on June 2, 2023, with one-third of the RSUs vesting on the first anniversary of the commencement date, and the remaining amount vesting in equal annual installments thereafter, subject to Reisner’s continued employment.

MTB Metals Corp said it has retained Simone Capital Corp in the capacity of Investor Relations and Capital Markets Advisory. Simone Capital will be paid C$13,000 per quarter and granted 400,000 options. The term for this agreement is three months with an automatic extension for three additional three-month terms subject to termination on a 30 days' notice. The options granted to Simone Capital are exercisable at $0.12 per share for a five year term. The options will vest as to one quarter at the end of each three month period commencing October 7, 2023. The company also announced the grant of stock options to directors, employees, advisors and consultants for an aggregate of 1,560,000 shares at an exercise price of $0.12 for a term of 5 years. In addition, MTB has granted Restricted Share Units (RSUs) to directors, employees, advisors and consultants for an aggregate of 2,825,000 shares. The RSUs will vest after 12 months.

Aurion Resources Ltd said it has amended and closed the option agreement with Dragon Mining Ltd to acquire and eliminate all encumbrances on the Kutuvuoma and Silasselkä projects, as disclosed in the news release dated May 31, 2023. The company has issued to Dragon 37,500 common shares of Aurion as consideration for the grant of the option. The agreement has been amended to provide that the number of consideration shares that may be issued to Dragon under the agreement will not result in Dragon owning, or having control or direction over, more than 9.9% of the then-issued shares of Aurion. Should the payment result in the potential for that occurring, the balance of the applicable payment will be made in cash.
