Black Swan Graphene (TSX-V:SWAN) Inc told investors that its shareholders have approved its previously filed Omnibus Incentive Plan and the grant of 15,175,000 stock options and 7,875,000 restricted share units to the directors and officers of the company.

Announcing a slew of recent corporations, the company noted that it had also entered into two debt settlement agreements dated February 10, 2023, under which it has agreed to settle $298,320 of debt currently owed to the creditors at a deemed price of $0.21 per share resulting in the issuance of 1,420,571 common shares.

ImagineAR Inc. (CSE:IP, OTCQB:IPNFF) announced that it has signed an annual SDK (software development kit) platform license agreement with Canadian event production agency HUMANCONTACT Inc to deliver immersive augmented reality (AR) experiences in their mobile app.

“After previously partnering with HUMANCONTACT to deliver immersive AR experiences for Shoppers Drug Mart in 2020, we are excited to work with their executive team again to be our first comprehensive React Native mobile app integration for the ImagineAR SDK Platform,” ImagineAR CEO Alen Paul Silverrstieen said in a statement.

Victory Battery Metals Corp (CSE:VR, OTC:VRCFF) said it has closed the second tranche of its non-brokered unit private placement. In the first tranche the company raised proceeds of $448,000 through the sale of 5,600,000 Units. In the second tranche the company accepted subscriptions for 4,550,000 units at a price of $0.08 per unit, for gross proceeds of $364,000. The company paid finders fees on the second tranche to qualified finders of $28,320 and issued 210,000 broker warrants, which are on the same terms as the warrants forming part of the units. Under the terms of the financing, each unit consists of one common share and one common share purchase warrant exercisable at $0.12 for a two-year period, subject to the right of the company to accelerate expiry upon 30 days' notice if the common shares trade at $0.17 or higher for a period of 10 days, including days where there is no trading. The company said it intends to use net proceeds of the financing for working capital requirements and other general corporate purposes.

Hawkmoon Resources Corp (CSE:HM, OTCQB:HWKRF) has said that Dr Olga Ankindinova has resigned as a director of the company. Dr Ankindinova will remain involved with the company as a technical adviser. Branden Haynes, chief executive officer of Hawkmoon, commented: "Olga was an interim director before George Yordanov joined the Hawkmoon board. The company appreciates her help in this regard. Going forward, Olga will function as a technical adviser for Hawkmoon's Gilnockie and Barriere projects."
