American Resources Corporation (NASDAQ:AREC) has announced the filing of a Form 10 registration statement with the US Securities and Exchange Commission for the planned spin-off of its ReElement Technologies LLC division into a standalone public company.

The company noted that commercialization success has positioned ReElement to become a standalone public company leading the critical and rare earth minerals industry with purification and refining methods. Its patented chromatography technology is low-cost and environmentally safe enabling it to collaboratively provide scalable localized refining solutions for rare earth and critical battery minerals.

In a statement, the Vancouver-based advanced-stage lithium company noted that along with the name change, the company will also change its ticker symbol on the TSX Venture Exchange. The company didn’t disclose its new anticipated ticker symbol.

Arizona Silver Exploration Inc. (TSX-V:AZS) has announced assay results from three core holes drilled during the fourth quarter of 2022, PC22-94, PC22-95 and PC22-96, at the Philadelphia gold project in Arizona.

The exploration company said all three drill holes intersected wide intervals of potentially ‘bulk tonnage’ gold grades, that being grades within the parameters of grades currently being mined in the district.

Bradda Head Lithium Limited (AIM:BHL, OTCQB:BHLIF, TSX-V:BHLI) has said its senior management will be opening trading for the Toronto Venture Exchange on 26 January, following the company’s listing there in November.

Aben Resources (TSX-V:ABN, OTCQB:ABNAF) said it has amended the option agreement dated November 9, 2021, with Eagle Plains whereby the company may acquire a 100% interest in the Slocan graphite property in Southern British Columbia. Under the new terms of the amendment, the company has been granted an extension on the due date of its first anniversary obligations, being the cash payment, share issuance and exploration expenditures The first anniversary obligations, which were all due by December 31, 2022, are now due as follows: $25,000 on or before March 31, 2023;150,000 common shares on or before March 31, 2023; $250,000 in exploration expenditures on or before June 30, 2023. In consideration of the amendment, the company shall issue the optionor an additional 350,000 common shares by March 31, 2023. All the other terms and conditions of the agreement remain unchanged.

Candelaria Mining Corp. (TSX-V:CAND, OTC:CDELF) said it has adopted a new 10% rolling stock option plan. The new plan received conditional TSX Venture Exchange (TSX-V) approval and shareholders approved the new plan at the company's annual general meeting held on January 20, 2023. The new plan, which replaced the company's 2012 stock option plan, was adopted in order to reflect amendments to the TSX-V's Policy 4.4. All outstanding options granted under the 2012 stock option plan have been rolled into the new plan. Also, the company's board of directors has made amendments to its fixed restricted share unit (RSU) plan to increase the number of common shares issuable pursuant to the amended and restated RSU plan to five million common shares and to conform with the requirements of the new TSX-V Policy 4.4. The amended and restated RSU plan received TSX-V conditional approval and shareholders approved the amended and restated RSU plan at the company's annual general meeting held on January 20, 2023.

Lucky Minerals (TSX-V:LKY, OTC:LKMNF) said it has now received conditional approval from the TSX Venture Exchange for the services agreement with Hubbard Perforaciones Ecuador Cia Ltda. As a result, the company will issue a total of 4,252,891 of its common shares in respect of consulting and drilling services received under the agreement. The common shares are issued at a deemed price per share of $0.05, for a total value of C$212,645. All shares issued under the agreement are subject to a hold period of four months plus a day from the date of issuance of the shares in accordance with applicable securities legislation and the policies of the TSX Venture Exchange.

The size and picing of the offering have yet to be determined, but it will be conducted through a syndicate of underwriters led by Canaccord Genuity.
