Revive Therapeutics says arranging private placement of up to $5M of units at a price of 15 cents each

The company said it intends to use the net proceeds for general working capital purposes and clinical development

Revive Therapeutics Ltd (CSE:RVV, OTCQB:RVVTF) has said it is arranging a private placement of a minimum of $3 million and up to $5 million of units at a price of 15 cents per unit, with the offering being led by EMD Financial Inc.

The company said it intends to use the net proceeds for general working capital purposes and clinical development.

Each unit in the offering will be composed of one common share in the capital of the company and one common share purchase warrant of the company. Each warrant shall entitle the holder thereof to acquire one additional common share at a price of 20 cents for a period of 36 months from the closing date of the offering.

In connection with the offering, the company said it will pay finders' fees and issue finder warrants to EMD Financial as well as any other registrants participating in the offering consisting of cash finders' fees of up to 8% of the gross proceeds of the offering and finders' warrants in an amount equal to up to 8% of the number of units issued under the offering, exercisable at a price of 15 cents per common share for a period of 36 months following the closing date.

The units offered as a part of the offering shall be offered to purchasers resident in all provinces of Canada, except Quebec, under the listed issuer financing exemption under Part 5A of NI 45-106.

The company may issue up to an aggregate of 33,333,333 units for maximum aggregate gross proceeds of $5 million under the listed issuer financing exemption. Units offered under the listed issuer financing exemption will not be subject to resale restrictions under applicable Canadian securities laws.

The offering is anticipated to close on or about December 14, 2022, or such later date as the company may determine, and is subject to certain conditions including, but not limited to, the receipt of all necessary regulatory and other approvals, including the approval of the Canadians Securities Exchange (CSE).

Revive is a life sciences company focused on the research and development of therapeutics for infectious diseases and rare disorders and it is prioritizing drug development efforts to take advantage of several regulatory incentives awarded by the US Food & Drug Administration (FDA) such as orphan drug, fast-track, breakthrough therapy and rare pediatric disease designations.

Currently, the company is exploring the use of bucillamine for the potential treatment of infectious diseases, with an initial focus on severe influenza and COVID-19.

With its acquisition of Psilocin Pharma Corp., Revive is advancing the development of psilocybin-based therapeutics in various diseases and disorders. Revive's cannabinoid pharmaceutical portfolio focuses on rare inflammatory diseases and the company was granted FDA orphan drug status designation for the use of cannabidiol (CBD) to treat autoimmune hepatitis (liver disease) and to treat ischemia and reperfusion injury from organ transplantation.
