Argentina Lithium & Energy Corp (TSX-V:LIT, OTCQB:PNXLF) has increased, for the second time, the size of the private placement first announced on November 3, citing greater investor demand.

The company upped the placement amount to C$9,085,237 from C$9 million, offering more than 36.3 million units at a price of $0.25 each. The company has closed the placement at those terms.

Nextech AR Solutions Corp. (CSE:NTAR, OTCQB:NEXCF) showed a rapid uptake of its augmented reality 3D model subscription business during third quarter 2022, placing it squarely in the way of a boom in revenue, according to Zacks Investment Research.

A Zacks analyst said that, as one of the first movers in a multi-billion dollar market, Nextech should be able to grow rapidly as this nascent AR sector explodes.

Black Swan Graphene (TSX-V:SWAN) Inc announced it has launched a scoping study in partnership with engineering firm Halyard Inc.

The large-scale production engineering study will provide an initial evaluation of the project, including processing plant specifications as well as mechanical, civil, structural, and electrical designs, Black Swan said in a statement.

Naturally Splendid Enterprises Ltd. (TSX-V:NSP, OTC:NSPDF) said George Ragogna will be stepping down as CFO and a member of the Board of Directors effective immediately. Ragogna will remain with the company as an Independent Consultant, focusing his efforts on logistics and inventory management control system. Bryan Carson, current Executive VP and company co-founder, will step in as interim CFO. Naturally Splendid CEO Craig Goodwin said: “I would like to acknowledge and thank George for his efforts as CFO and director. George was able to streamline several accounting processes and develop an order desk system that would allow us to track and record all purchases and invoices efficiently. Champion Gaming Group Inc (TSX-V:WAGR) said it has granted an aggregate of 3,140,000 restricted share units (RSUs) to certain officers, employees and consultants of the company under the terms of its omnibus equity incentive compensation plan, vesting 12 months from the date of grant. Each RSU entitles the holder to acquire one common share of the company. The RSU grant is subject to approval by the TSX Venture Exchange.

Wellbeing Digital Sciences (NEO:MEDI.AQN, OTCQB:KONEF) said James Henning and Steven Inglefield have stepped down as directors of the company. “James has served on the Wellbeing board of directors since the company’s inception,” said Wellbeing CEO Najla Guthrie. “Overtime he has made many contributions to the success and growth of the company, drawing on a wealth of experience gained over a long and successful business career. Steven has served as a director of the company as well as its Chief Operating Officer since the purchase of IRP Health Ltd and made considerable contributions during his tenure. With the company’s decision to divest IRP, Steven leaves to focus on IRP’s expanding growth. Bhang Inc (CSE:BHNG, OTCQB:BHNGF) announced that it has entered into a debt settlement agreement with a consultant that provided certain capital markets advisory services. As per the terms of the settlement agreement, Bhang has issued 3,766,666 units of Bhang at a price of $0.03 per unit, in full and final satisfaction of the indebtedness in the amount of $113,000 owed by the company to the consultant. Each unit is comprised of one subordinate voting share of Bhang and one half warrant. Each full warrant is exercisable for one subordinate voting share of Bhang at a price of $0.05 per subordinate voting share for a period of 12 months. Bhang said it has also issued 1,940,257 subordinate voting shares at a price of $0.035 per share pursuant to an agreement for the license of certain software and data relating to industry reporting. The subordinate voting shares and underlying subordinate voting shares to the warrants are subject to a statutory four month and one day hold period expiring on March 19, 2023.

MedX Health Corp. (TSX-V:MDX) is proposing to complete a private placement financing to raise up to $1.5 million by issuing a five-year secured convertible debenture. Under the terms of the proposed placement, which is subject to acceptance by the TSX Venture Exchange and any other relevant regulatory or other consents and approvals, funding of up to a total of $1.5 million will be drawn down on the express basis that advances will be applied specifically and only to the expenses notified to and approved by the lender. Interest will be payable quarterly at 8% per year. The debenture will be secured by a fixed and floating charge over all assets and undertaking of MedX, and will be subject to customary provisions in the event of default. The debenture will be convertible into units at the option of the lender. Each unit shall comprise one common share and one share purchase warrant. MedX said the sole subscriber under the proposed placement is Forest Lane Holdings Ltd, a company controlled by David Hennigar, a director of the company, and accordingly this is a “related party transaction”.

Africa Oil Corp (TSX:AOI) said it repurchased a total of 1,667,480 common shares between November 14, 2022 and November 18, 2022 under a previously-announced share buyback program. Of the repurchased shares, 667,480 shares were bought back on the TSX and/or alternative Canadian trading systems, while 1,000,000 shares were on Nasdaq Stockholm. During the same period, Africa Oil cancelled 2,574,960 shares repurchased under the share buyback program. Since September 27, 2022, up to and including November 18, 2022, a total of 17,425,190 shares have been repurchased under the buyback program through the facilities of the TSX, Nasdaq Stockholm and/or alternative Canadian trading systems. A maximum of 40,482,356 shares may be repurchased between September 27, 2022 and September 26, 2023, or until such earlier date as the program is completed or terminated by the company.

Arizona Silver Exploration Inc. (TSX-V:AZS) has been granted an extension by the TSX Venture Exchange to complete its previously announced private placement worth up to $2 million. The new deadline is December 19, 2022. Completion of the private placement remains subject to the approval of the exchange.
