FSD Pharma Inc revealed that it was successful in its motion to dismiss the derivative claim that was filed by Maheep Goyal, a shareholder, on July 20, 2021, in Delaware against the company and its directors and officers. The company said that in a decision dated May 5, 2022, the Delaware court dismissed the claim without prejudice on the grounds that the plaintiff, lacked standing to bring his claims. "We have always believed that the lawsuits against the company are frivolous in nature,” FSD Pharma interim CEO Anthony Durkacz said in a statement. “We are pleased to hear that the courts of Delaware have dealt with this particular claim appropriately and are looking forward to the resolution of the company's remaining litigation." The dismissal of the claim marks another claim against the company that has been successfully dismissed, following the dismissal of the joint claim filed by Edward Brennan Jr. and Huma Qamar, two former FSD BioSciences employees, in Pennsylvania on December 13, 2021.

Nomad Royalty Company Ltd has said it will pay a quarterly dividend of C$0.05 per share after reporting record revenue for the three months to March 31, 2022. The gold & silver royalty company said revenue for the quarter increased to US$13.8 million from US$9.7 million a year earlier after it sold 6,604 gold-equivalent ounces (GEOs), up from 5,575 in 1Q 2021. Net income swung to US$2.7 million from a US$0.3 million loss in the comparable year-earlier period. Nomad, which this week agreed to be acquired by Sandstorm Gold Ltd, also reported adjusted net income of US$2.3 million, up from US$1.9 million, and ended the quarter with US$21.5 million of cash.
Canaccord Genuity maintained its 'Buy' rating and C$16 target price on Nomad Royalty, based on its Sandstorm target price of C$13.50 and the share exchange ratio, noting that the Q1/22 results were largely in line with the broker's estimates. The analysts said: "In our view, the transaction makes strategic sense, creating a larger and more diversified mid-tier royalty & streaming company." They added: "We expect the transactions to be successful, and we don't expect any interlopers. The Nomad transaction is expected to close in H2/22 and the BaseCore transaction in 4-6 weeks."

CULT Food Science Corp said it entered into an agreement with Cella Food Systems Inc on April 27, 2022, to exchange $300,000 worth of shares of the respective companies. In addition, the parties will enter into a license agreement under which Cella will grant CULT and its affiliates and portfolio companies a 15-year non-exclusive right to use Cella’s intellectual property (IP) upon closing of the share exchange transaction. O3 Mining Inc said the TSX Venture Exchange has accepted for filing a purchase and sale agreement dated April 13, 2022, between it and an arm's-length vendor, under which the company will acquire a 100% interest in the vendor's East-West property, located in the Val d'Or mining camp in Quebec, which consists of seven mining claims covering an area of 184 hectares. Under the agreement, to acquire the property, the company is required to issue 325,000 common shares and pay $750,000 to the vendor upon closing.
