Analysts at Noble Capital Partners reiterated an “Outperform” rating on Newrange Gold Corp as the company started drilling at its North Birch project, in the Birch-Uchi greenstone belt northeast of Red Lake, Ontario. Roughly 2,000 meters of drilling is planned, with the first five holes testing a three-kilometer (km) strike length of the main target. “The rating is Outperform. We think 2022 will be an eventful year for Newrange as activity accelerates at projects in the Birch-Uchi Belt in Ontario. We believe the drilling program could reveal the significant discovery potential at North Birch and unrealized potential remaining at Argosy,” analysts at Noble Capital wrote in a note to clients. Noble Capital reiterated its C$0.15 price target on Newrange Gold’s shares. The company’s stock currently stands at around C$0.08 in Toronto.

Water Tower Research LLC said that Crown Electrokinetics Corp stands at an inflection point of the smart glass industry and has an attractive position. Analysts at Water Tower said in a note to clients that Crown is transforming the ‘smart glass’ industry through its unique proprietary electrokinetic technology that provides a sustainable transition of glass applications in commercial buildings, reducing energy consumption by up to 26%. “It can target retrofit opportunities with an easy-to-install, highly cost-competitive solution with a demonstrated return on investment,” said analysts at Water Tower. “Furthermore, increasing legislative reforms for green buildings surrounding LEED-certification, combined with customer preferences in favor of carbon reduction, are creating a growing market for Crown’s smart glass solutions. Imagine AR Inc has announced that Sheldon Inwentash has resigned as a director of the company and will be replaced by Tristram Coffin. CULT Food Science Corp said it has received approval from The Depository Trust Company (DTC) to make the Company's common shares eligible to be electronically cleared and settled through DTC. DTC Eligibility makes the company’s shares more accessible to investors in the United States. Concurrently, CULT has applied to the OTC Markets Group to up-list its shares from being a Pink-level issuer to the OTCQB Venture Market in the United States. The company’s shares will continue to trade on the Canadian Securities Exchange under the symbol CULT and the Frankfurt Stock Exchange under the symbol LN0. Predictiv AI Inc (TSX-V:PAI) said it has entered into debt settlement agreements with certain directors, officers, former employees and consultants of the company. Predictiv AI has agreed to convert an aggregate of $114,000 in payables owed to the parties related to services rendered to the company up to the period ending January 31, 2022, into Predictiv AI common shares. The company is proposing to issue the settlement shares in order to preserve working capital to fund operations. Predictiv AI has agreed under the terms of the debt settlement agreements, to issue an aggregate of 2,280,000 settlement shares at a deemed issuance price of $0.05 each in full and final satisfaction of the payables owing to the parties. By issuing the settlement shares, the payables will be fully settled. The settlement shares will be issued in reliance on certain prospectus exemptions available under Canadian securities legislation and will be subject to a four-month and one-day hold period from the date of issuance. 700,000 Settlement Shares are being issued to insiders of the company. The settlement of the payables has been approved by all of the directors of the company. Conversion of the payables and issuance of the settlement shares is subject to the acceptance of the TSX Venture Exchange. There is no guarantee that such conditions precedent will be satisfied or that any of the transactions will be completed as described herein or at all. Predicitiv AI also announced that Jerry Grafstein has resigned as a director of the company.

Contakt World (CSE:HELP) Technologies Corp said it has closed a financing of units of the company through the issuance of two million units at a price of 7.5 cents per unit, for gross proceeds of $150,000. Each unit is comprised of one Class A Subordinate Voting Share and one share purchase warrant. Each warrant is exercisable into one share at a price of $0.15 for a period of two years from the date of issuance. In addition, the company also converted $124,500 in debt through the issuance of 1,659,998 units in share for debt agreements, under the same terms. All securities issued are subject to a four-month and one-day statutory hold period expiring on June 18, 2022. The company said it intends to use the net proceeds from the financing towards general working capital.

TomaGold Corp (TSX-V:LOT) said the TSX Venture Exchange has accepted for filing the documentation relating to an acquisition agreement dated February 10, 2022, between the company and Yorbeau Resources Inc, in connection with the acquisition of the vendor's 51% interest in the five claims immediately west of the Obalski property, located south of Chibougamau in the province of Quebec. Under the agreement, the company will issue 1.5 million common shares to the vendor. The vendor will retain a 2% net smelter return (NSR) royalty on any saleable production from the property; 50% of the NSR royalty (a 1%) may be purchased by the issuer for $1 million.

Great Bear Resources (TSX-V:GBR) Ltd said it has obtained a final order from the Supreme Court of British Columbia approving the previously announced acquisition of Great Bear by Kinross Gold Corp. by way of a plan of arrangement. The transaction remains subject to the satisfaction of customary closing conditions and is expected to close on or about February 24, 2022. Following completion of the transaction, the Great Bear Shares are expected to be delisted from the TSX-Venture Exchange and the OTCQX.

DGTL Holdings In noted that at the annual general and special meeting of shareholders of Engagement Labs (TSX-V:EL) Inc., held on February 14, 2022, over 98% of the votes cast on the proposed plan of arrangement between Engagement Labs (TSX-V:EL) and DGTL voted in favour of the arrangement. The Ontario Superior Court of Justice (commercial list) issued a final order on February 16, 2022, allowing the arrangement to proceed. Engagement Labs (TSX-V:EL) and DGTL are in the process of filing final documentation with the TSX Venture Exchange (TSX-V) to give effect to the merger for trading purposes. Upon confirmation from the exchange that the additional common shares of DGTL issuable to Engagement Labs (TSX-V:EL) shareholders may be issued, the outstanding common shares of Engagement Labs (TSX-V:EL) will be exchanged for DGTL shares on the basis of one DGTL share for every 8.803 Engagement Labs (TSX-V:EL) share held. It is anticipated that the Engagement Labs (TSX-V:EL) shares will be delisted from the TSX-V following the completion of the arrangement, which the parties anticipate will occur on February 25, 2022
