Enveric Biosciences Inc announced the closing of its underwritten public offering that generated gross proceeds of about $10 million. The company intends to use the net proceeds for working capital and to fund other general corporate purposes. Enveric is an innovative biotechnology company developing next-generation mental health and oncology treatments and clinical discovery platform, leveraging psychedelic-derived molecules for the mind and synthetic cannabinoids for the body.

Paltalk (NASDAQ:PALT) Inc announced that it has partnered with New York City-based growth marketing firm NoGood to accelerate user acquisition for its Paltalk (NASDAQ:PALT) application. The company said the targeting of new users is expected to lead to an increase in subscribers and revenue. “NoGood has been instrumental in helping many startups and scaleups dramatically increase their traffic, conversion and users,” Paltalk (NASDAQ:PALT) CEO Jason Katz said in a statement.

Gratomic Inc said it has signed a Memorandum of Understanding (MOU) with Millennium Metals Ltd (TM2) and an undisclosed third party (the buyer) to supply graphite over 60 consecutive months. In a statement, Gratomic said the supplying will begin upon commencement of commercial production at its Aukam Graphite project in Namibia. "Bringing a buyer into the partnership between Gratomic and TM2 continues to build our vision of creating opportunities and becoming a lead player in the electric vehicle battery sector, with the right partners," said Gratomic CEO Arno Brand.

Potent Ventures Inc, which is in the process of changing its name to The Gummy Project Inc., has announced its purpose-driven endangered Keystone Species product marketing strategy for its initial gummy product line. The Gummy Project's initial launch will feature two endangered Keystone Species - sharks and bees. "The Gummy Project is committed to launching an innovative product that gummy consumers will find delicious and feel great about because with every bag purchased, they will be supporting and helping raise awareness of endangered species that are crucial to the world's ecosystems," the company's CEO Charlie Lamb said in a statement.

Arizona Silver Exploration Inc said it has completed the first two core holes at the Philadelphia project in Arizona. Drilling commenced on January 28, 2022, with the first hole is in the laboratory with the second hole to be submitted February 18, 2022. "From a visual perspective the new drilling is proceeding as anticipated. Intercepts are close to modelled depths and quartz vein breccia thicknesses remain strong. The presence of visible gold in core in the hanging wall vein is encouraging but must be regarded with caution as to grade,” said Greg Hahn, vice president of exploration for Arizona Silver, in a statement. “That said, the model of the gold system in the ‘boiling zone’ is holding up and as such I expect the zone will continue deeper."

Marvel Discovery Corp announced that it has expanded its land holding in the Saguenay-Lac-Saint-Jean Anorthosite Suite from 42 claims to 102 claims, for a total of 5,300 hectares, following the “high-quality” response of heliborne magnetic and Time Domain Electromagnetic (TDEM) signature survey results over the Duhamel nickel-copper-cobalt (Ni-Cu-Co) and titanium, vanadium, and chromium (Ti-V-Cr) property in Quebec. The company said the Duhamel property currently contains seven occurrences of Ni-Cu-Co sulphides and one iron-titanium-vanadium (Fe-Ti-V) iron oxide occurrence discovered between 1997 to 2001 by previous operators, who defined a 13 kilometre-long mineralized rock corridor.

Goldseek Resources Inc announced that it has currently defined five exploration targets on its Val-d’Or North property in Quebec, which are based on polymetallic anomalies in soil samples that show consistent anomalies in till. The company said a follow-up is targeted for this summer to better define and characterize the targets. “The presence of high gold grain counts, especially at our Target 3 supports the potential of this grassroots project in a camp that has seen lots of recent M&A,” Goldseek Resources CEO Jon Deluce said in a statement.

VR Resources Ltd (TSX-V:VRR, OTCQB:VRRCF) has revealed that it is on the ground completing final preparations for first pass drilling at its Amsel gold-silver project, in Nevada. The Vancouver-based established junior exploration company said that field crews cleared the main access road and prepared drill sites in the last two weeks of January. The drill is expected to arrive on the site this week to kickoff drilling. In a statement, VR Resources CEO Dr Michael Gunning said: “The company has four years of exploration under its belt at Amsel and along the 20 kilometer (km) long trend of gold-silver veins within the Big Ten caldera. High-grade veins at the Danbo property were our initial focus, but it is the Amsel property that has produced by far the most compelling and integrated target for a large-scale epithermal gold-silver system.”

Golden Tag Resources Ltd has told investors that diamond hole drilling at its San Diego project in Mexico had hit high-grade silver relatively near the surface and close to existing historical underground workings. The firm reported assays from three holes, which were part of a program targeting bulk-tonnage mineralization at the property. Notably, one hole hit 1,110 grams per ton (g/t) of silver-equivalent over a length of 0.65 metres (m) from 184.3m depth at the CSplay Zone, while another at the Fernandez Zone intercepted a length of 240.3m at a grade of 83 g/t silver-equivalent starting from 615.9m depth. "We are pleased to have intersected high-grade silver within proximity to existing historical underground workings, relatively near surface," said Greg McKenzie, CEO of Golden Tag, in a statement.

World Copper Ltd (TSX-V:WCU, OTCQB:WCUFF) has released the results of a preliminary economic assessment (PEA) on its Escalones copper project that vaults it amongst some of the more compelling South American development assets. The PEA reveals a post-tax net present value (NPV) of nearly US$1.5 billion based on a $3.60 per pound life of mine copper price, with an internal rate of return (IRR) of 46.2% and payback period of 2.18 years. Initial capital expenditure comes in at US$438.4 million from a construction decision, according to Vancouver-based World Copper. The PEA confirms that the Escalones estimated inferred mineral resources are amenable to a large scale, bulk high-tonnage, open pit, mining operation, the company said.

Kenorland Minerals Ltd (TSX-V:KLD) has updated investors on its ongoing exploration activities across North America as it prepares for an active year of exploration with multiple projects located in Quebec, Ontario, Manitoba and Alaska being advanced through the exploration pipeline. The Vancouver-based mineral exploration company said it is well funded to carry out its anticipated 2022 exploration activities having approximately C$8.2 million in working capital at the beginning of January 2022. It also announced executive management changes and the granting of incentive options.

Great Bear Resources (TSX-V:GBR) Ltd has revealed that its security holders have approved a plan of arrangement that will result in its takeover by Kinross Gold Corp in a deal valued at about C$1.8 billion. The Vancouver-based gold exploration company said the transaction was approved by 97.8% of the votes cast by security holders present or represented by proxy at a special meeting held on February 14, 2022. Under the terms of the deal, security holders were able to elect to receive C$29 per Great Bear share in cash or 3.8564 Kinross shares per Great Bear share, both subject to pro-ration to ensure maximum cash consideration of approximately $1.4 billion and a maximum of approximately 80.7 million Kinross common shares issued as the initial consideration. Shareholders who did not make an election will receive the all-cash consideration, subject to pro-ration, the company said.

Psyched Wellness (CSE:PSYC, OTCQB:PSYCF) Ltd has announced the key results from a 90-day oral toxicity preclinical study on its proprietary extract of the Amanita Muscaria mushroom (AME-1), with its contract research organization (CRO) partner. The Toronto-based company noted that the study was the third set of a group of thorough assessments on AME-1 conducted to determine the systemic toxicity potential of the Amanita Muscaria extract when administered once daily for 90 consecutive days, and summarizes the NOAEL (No Observed Adverse Event Level). "This is the final step in the toxicological assessment of AME-1 that will form the foundation for the effective safe dose for human consumption and provides the necessary information for any future clinical studies," the company’s scientific advisor Brian Tancowny said in a statement.

Xigem Technologies (CSE:XIGM, OTCQB:XIGMF) Corporation has revealed that its wholly-owned subsidiary, Cylix Data Corporation, is launching the next generation of its Cylix Data business risk profiling platform which includes a robust technology architecture, complete with an intuitive new user interface, to create a new sustainably differentiated, best-in-class business intelligence platform. Thesis Gold Inc (TSX-V:TAU) is eyeing further drilling at its wholly-owned Ranch gold project in British Columbia as the firm posted positive remaining assays from the Ridge prospect at the property. A highlight of the results from the latest holes was an intercept of 10.8 metres (m) starting from 85.2m depth, which hit 3.94 grams per ton (g/t) gold and 247.58 g/t silver, or 7.03 g/t gold equivalent (AuEq). The Ridge zone remains open along-strike and to-depth, noted Thesis, while over 600m of strike length remain to be drill tested. "The Ridge zone continues to deliver strong drill results, and our team is steadily advancing our understanding of the gold, silver, and copper mineralization controls across the project area as new data becomes available," said Ewan Webster, CEO of Thesis in a statement.

Wellbeing Digital Sciences (NEO:MEDI.AQN, OTCQB:KONEF) Inc, formerly known as Ketamine One, has announced the successful facilitation of its first intravenous (IV) ketamine treatment to a patient at the Victoria Wellness (VW) Mental Health Residential and Addiction Treatment Centre in Ontario through its collaboration with iHealthOX. The Vancouver, British Columbia-based company noted that VW is one of the first in-patient facilities to offer ketamine-assisted therapy in Canada. It said it expects the collaboration between VW, iHealthOX and itself to experience an increase in the number of patients treated via IV ketamine infusions. "The success of our first IV ketamine treatment in Canada in collaboration with VW and iHealthOX and Wellbeing is encouraged that ketamine-based treatments for mental health are becoming more commonplace,” Wellbeing interim CEO Adam Deffett said in a statement.

Tocvan Ventures Corp has updated on Phase 3 drilling at its Pilar gold-silver project in Mexico, where early signs have been encouraging for a potential future mine development. The drilling is focused on Main Zone expansion targets and newly identified targets, said Tocvan, and one core drill hole has hit "a heavily oxidized and fractured mineralized breccia". This hole is a twin of a reverse circulation (RC) one sunk in 2020, which hit 9.2 meters (m) of 10.8 grams per ton (g/t) gold and 38 g/t silver. Lab assays for the hole are pending. Tocvan CEO Brodie Sutherland told investors that although the results of this latest hole were only "visual at this stage", the direct correlation with assays from the 2020 twin indicated that the Main Zone was hosted within a mineralized breccia. "This is significant as it suggests that mineralization is not isolated to narrow veins but in places hosted in a broad breccia body that is much more attractive as a development target," he said in a statement.

Burcon NutraScience Corp (TSX:BU, NASDAQ:BRCN) has released its fiscal 3Q 2022 results which saw the company deliver a 41% quarter-over-quarter revenue bump thanks to its Merit Functional Foods Corporation licensee. The Vancouver-based plant-based foods company recorded C$44,597 in revenue versus the C$32,000 it put up in 2Q, and compared to nil in fiscal 3Q 2021. Burcon established Merit Functional Foods Corporation in 2019 as part of a joint venture with three veteran food industry executives.

Therma Bright Inc (TSX-V:THRM, OTC:TBRIF) announced that a clinical performance study of its AcuVid COVID-19 Rapid Antigen Saliva Test has successfully exceeded US Food and Drug Administration's Emergency Use Authorization (EUA) requirements for both Positive Percent Agreement (PPA) and Negative Percent Agreement (NPA). The company said its management and product development teams are currently compiling the US Clinical Performance Study results with all supplemental studies into one complete FDA EUA application for submission. “This achievement places Therma Bright in a very unique leadership position as the first company in the COVID-19 diagnostic testing space to successfully complete a 15-minute rapid antigen saliva-based U.S. study,” the company said in a statement.

Dalrada Financial Corp (OTCQB:DFCO) has posted fiscal second-quarter results that saw its revenue jump 1,096% year-over-year on the back of its healthcare and technology divisions. For the period ended December 31, 2021, the San Diego, California-based group reported revenue of $5.45 million, compared to $455,517 in the same quarter in 2020. The company also logged quarter-over-quarter growth of 18%, compared to the fiscal first quarter ended September 30, 2021, when Dalrada reported revenue of $4.6 million. The company chalked up the stellar revenue performance primarily thanks to its healthcare and technology segments, noting that the group remains “agile” in responding to market demands for safer, alternative products and services. The company said revenue from coronavirus (COVID-19) diagnostic testing was “robust”, touching $4,385,798 in the second quarter of fiscal 2022.

BANXA (TSX-V:BNXA, OTCQX:BNXAF) Holdings Inc, the world's first listed payment service provider (PSP) and RegTech platform for the digital assets industry, has announced its January 2022 total transaction values (TTV), recording US$121.4 million (AU$169.3 million), up 207% year-on-year, which it said was in line with the general market trends. In January, BANXA (TSX-V:BNXA, OTCQX:BNXAF) processed over 210,000 transactions and added five new partners, including Coinex, Loopring and Safeswap. The company also added 14 new fiat currencies in January alone, enabling seamless access to digital currencies through multiple payment methods.

Pathfinder Ventures (TSX-V:RV) Inc has told investors it is expanding into the recreational vehicle (RV) and self-storage space with the acquisition of Black Sheep Income Corp (BSIC), a private BC company, in a cash and share deal worth C$4.5 million. BSIC owns and operates one stabilized RV & self-storage business in Penticton and one operating self-storage site with re-development potential in Nanaimo and under the letter of intent (LOI), the firm will also acquire the contracts to buy two existing RV parks and campgrounds, one in Columbia Valley along the Kooteney River, BC and the other in the foothills of the Rocky Mountains of Alberta. In addition, the founders and management of BSIC, Cathy Butler and Mark O'Donoghue, will join the Pathfinder executive team as chief investment officer (CIO) and chief financial officer (CFO) respectively, and Butler will be appointed as a director at Pathfinder.

Aurania Resources Ltd (TSX-V:ARU, OTCQB:AUIAF) has revealed that its new head of corporate social responsibility Carolina Lasso Amaya has negotiated a key access agreement for its Lost Cities-Cutucu project in southeastern Ecuador. The explorer has, for the first time, now been granted access to the 'Kim' community in the southern part of the firm's concessions and possibly the site of one of the 'Lost Cities', namely the Logroño de los Caballeros, a gold mining settlement founded in around 1562 by the Spanish conquistadors, the company told investors. Consultancy firm Metron Inc. of Reston, Virginia, USA, previously used Bayesian data analysis to generate probability maps of the position of this 'Lost City' and forecasted this as a potential location. "Metron incorporated historical documents, and clues from geography and geology into a 'search matrix', and then through statistical algorithms produced a map with statistical likelihoods the settlement would be in specific areas. Kim will be a focus of work going forward," said Aurania.

CULT Food Science Corp, an investment platform that focuses on clean, lab-grown food, revealed that its portfolio company, Fiction Foods LLC has provided significant operational updates and manufacturing guidance for the first half of 2022 related to its novel cellular agriculture product pipeline. To date, Fiction Foods has completed bench-scale formulation and prototyping work for its flagship food product known as "Performance Scramble," a nutrient-rich and cell-based formula to be consumed in place of a chicken egg. In November 2021, CULT led the seed round of financing for Fiction Foods, which is an intelligent food design company founded by Brendan Brazier, co-founder of plant-based food pioneer Vega.

Maverix Metals Inc (TSX:MMX) said it achieved record attributable gold equivalent ounces in both the fourth quarter and full-year 2021 periods, beating its already-increased annual guidance. The royalty company recorded about 9,000 ounces in 4Q 2021 and over 32,000 gold equivalent ounces (GEOs) for FY2021, which topped Maverix’s own estimate of 31,000 ounces. In November, Maverix updated its guidance to 31,000 from its initial 2021 range of between 27,000 to 30,000 GEOs.

Information Services Corporation has revealed that its services segment, through its wholly-owned subsidiary ESC Corporate Services Ltd, acquired all of the shares of a group of companies operating as UPLevel. The Saskatchewan-based firm noted that UPLevel has operations in Ontario and Quebec and can serve customers across Canada and the US, providing contact and accounts receivable management, debt collection and Personal Property Security Act (PPSA) search and registration services. It said the acquisition expands ESC's leading role in the PPSA market and augments its credit life-cycle product suite by adding early and late-stage collections. UPLevel's client list and ESC's broad core product offerings will also provide revenue synergy opportunities, the company added.

BetterLife Pharma Inc (CSE:BETR, OTCQB:BETRF) said it has obtained positive results from a preclinical neural plasticity study of BETR-001 in cortical rat neurons, as part of its collaboration with the laboratory of Dr Argel Aguilar-Valles at Carleton University's Department of Neuroscience. BETR-001 (2-bromo-LSD, formerly TD-0148A) is a non-hallucinogenic derivative of lysergic acid diethylamide (LSD). The company is studying the LSD analog for its potential to treat depression. "We are very pleased with these preclinical results as they confirm that BETR-001, an LSD analog, retained the anti-depressant and neural plasticity activity of LSD but without causing hallucination,” said BetterLife CEO Dr. Ahmad Doroudian in a statement.

QC Copper and Gold Inc has announced initial assay results from its fourth-quarter 2021 drill program at its Opemiska copper project in Quebec, in which “significant” results were obtained in several drill holes, including 184.5 metres grading 0.3% copper equivalent and 49.5 metres grading 0.7% copper equivalent. The company said the current phase of drilling is focused on areas that are yet to demonstrate geological continuity in order to increase the resource base within the conceptual pit outline. “These results are notable because they extend mineralization into areas that were not well sampled or included in September 2021's Mineral Resource Estimate,” QC Copper and Gold vice president of exploration Charles Beaudry said in a statement.

ElectraMeccanica (NASDAQ:SOLO) Vehicles Corp has announced a non-binding partnership agreement with Faction Technology Inc to demonstrate a pilot deployment of Faction's driverless and remote vehicle operation technology on its SOLO EV (electric vehicle) platform. The Canadian electric car company said Faction plans to utilize the SOLO EVs to test its autonomous driving technology as it relates to micro-logistics and ride-on-demand. A test pilot program is currently underway with customers in both the food delivery and vehicle on-demand verticals in which the light electric vehicle is right-sized for delivery and shared mobility, it added. Under the memorandum of understanding, ElectraMeccanica (NASDAQ:SOLO) and Faction will work on a best-efforts basis to expand the partnership towards the pilot deployment of a driverless demonstration fleet of up to 24 SOLO EVs over the next 12 months. To date, three SOLO EVs have been delivered to Faction.

Boosh Plant-Based Brands Inc (CSE:VEGI, OTC:VGGIF) revealed that it has struck an asset purchase agreement to acquire substantially all the assets of Beanfields Inc in an all-share deal worth $8 million. Boosh will also pay US$400,000 through the issuance of a promissory note to the vendors bearing interest at a rate of 6% per annum and commit to providing Beanfields nearly US$1 million in working capital funding. The Vancouver-based plant-based company clarified that the acquisition of the assets has not yet completed. It is currently anticipated to close on February 16, 2022.

CLS Holdings USA (CSE:CLSH, OTCQB:CLSH) Inc said its wholly-owned subsidiaries in Nevada generated net revenue of $1.75 million and a record gross margin of 55% during January, maintaining the company's goal of achieving a greater than 50% gross margin. The Las Vegas, Nevada-based cannabis company said net revenue for its wholesale branded division at City Trees continued to rise with monthly net revenue growth of 127% year-over-year and 191% over 2020. "2022 is off to a great start," the company’s president and chief operating officer Andrew Glashow said in a statement. "We are committed to reinvesting in our growth and made a number of significant hires to bolster our strong core team. ESE Entertainment Inc has said its media division, Frenzy sp. z.o.o. is launching a new broadcast studio in Warsaw, Poland, designed to host and broadcast esports and gaming media and commentary. The new studio will allow ESE to further develop its esports and gaming broadcasting business in the most popular titles such as League of Legends, CS:GO, Rainbow Six, while also allowing for the development and production of new media formats. CO2 GRO Inc (TSX-V:GROW, OTCQB:BLONF) has announced the exercise of 11,488,695 warrants at $0.15 per warrant, raising proceeds of $1,723,304, which included the exercise of 10 million warrants by Ospraie Ag Science LLC. It also said that 1,022,285 options that ranged from $0.135 to $0.18 per option have been exercised for additional proceeds of $161,865 for total proceeds of $1,885,619. The 12,510,980 common shares being issued are not subject to a hold period. After the issuance, the company will have common shares of 97,326,698 issued and outstanding with 101,952,804, fully-diluted. Zynerba Pharmaceuticals (NASDAQ:ZYNE) Inc has announced the appointment of Albert P Parker as the company’s new chief legal officer and corporate secretary. Parker, an accomplished industry executive with over 25 years of pharmaceutical, biotech and healthcare experience, will assume the duties of Suzanne Hanlon, who will retire from her position at the end of February 2022, the company said. He is a lawyer with vast experience leading teams in multinational mining companies and will be based in Chile. It said the arrival of Montt strengthens the company for the coming phases of the Vizcachitas Project leading to permitting and construction, nothing that he is passionate for the development of a successful and responsible business and will drive the company's mission to maximize the value of the Vizcachitas Project for all its stakeholders. NetCents (CSE:NC, OTCQB:NTTCF, Frankfurt Code :26n) Technology Inc said its board of directors has approved a change of auditors to Antares Professional Corporation, Chartered Professional Accountants (PKF Antares). The decision was finalized after receiving word from Davidson & Company that additional delays in the completion of the 2020 audit are expected due to staffing issues at the firm. It was further estimated by Davidson that staffing would not be available to make any progress on the audit until at least May 2022. The company has been working diligently to complete the audit which has already taken much longer than expected. When the company received notice of additional delays and no definitive completion date in sight, the board decided to make the change. Davidson and Company has cooperated in transferring the accounting file as well as additional work papers and PKF Antares has already begun working. The immediate response from our new auditors has been encouraging. PKF Antares has moved quickly to organize staff and review information provided by Davidson. The estimated time for the completion of FY 2020 audit is by the end of March 2022 and end of April 2022 for the completion of FY 2021 audit. Price Waterhouse will collect and maintain all accounting records and prepare quarterly and annual financial statements to provide to the auditors.

Lion Copper and Gold Corp (TSX-V:LEO, OTCQB:LCGMF) said the TSX Venture Exchange has accepted for filing a purchase agreement dated December 22, 2021, between Four O Six Mining & Exploration LLC, Kurt Kephart, Jim Durst, and Brad Davey (collectively, the seller), and Blue Copper LLC (the buyer), whereby the seller agrees to sell to the buyer, and the buyer agrees to buy, certain unpatented mining claims associated with the Blue copper prospect in Montana. Blue Copper is a wholly-owned subsidiary of Lion Copper and Gold Corp (TSX-V:LEO, OTCQB:LCGMF). There is a 2% net smelter return (NSR) royalty payable to the seller, with the right to buy back 1% for a cash payment of US$1.5 million. The consideration payable to the seller is an aggregate of US$40,000 in cash, C$5,000 in cash as a goodwill payment, C$950 per claim in advance of the transaction closing as reimbursement for the seller's payment of claim filing fees, up to C$10,000 for the seller's reasonable costs and expenses associated with the transaction, and 1.5 million common shares of the company.
