Vejii Holdings (CSE:VEJI) Ltd announced that it has entered into a share purchase agreement to acquire VEDGEco USA Inc — a leading online business-to-business wholesale platform for plant-based products. The Vancouver, British Columbia-based company said the transaction will significantly augment Vejii's offering of plant-based brands, which have, through ShopVejii.com and VeganEssentials.com, leveraged Vejii's platform for sales, marketing, and order fulfillment and distribution across the US and Canada. "VEDGEco launched as one of the first online wholesale platforms dedicated to providing restaurants and independent grocers with a large selection of high-quality plant-based options," said Kory Zelickson, CEO of Vejii said in a statement. Zelickson added: "This meant that small business owners could at last gain access to a large selection of plant-based products and ingredients without the requirements that typical larger national distributors have in place, such as large minimum order sizes."
Sigma Lithium Corporation has closed its previously announced non-brokered private placement of common shares of approximately C$136.7 million. The company issued from treasury a total of approximately 11,634,137 common shares at a price of C$11.75 per share. Funds and accounts managed by BlackRock (NYSE:BLK) made a total investment in the company of approximately C$64.2 million. Sigma expects to use the net proceeds of the offering to fully-fund the construction of its phase 1 production plant and mine, further develop phases 2 and 3 of its wholly-owned Grota do Cirilo project in Brazil, and for general corporate purposes.
Magna Mining Inc (TSX-V:NICU) has granted a total of 575,000 stock options to purchase shares of the company to certain directors and officers pursuant to the company's Share Incentive Plan. Such options have an exercise price of $0.40 per common share, and vest immediately. All options expire on December 23rd, 2026.
Vuzix Corporation (NASDAQ:VUZI) announced that it has received a follow-up on an order and has delivered a new version of a customized commercial avionics waveguide-based head-mounted display (HMD) system to a global tier-1 aerospace firm. The New York-based company said that the customized HMD waveguide and HD display engine development program with this customer has continued to expand and move toward production since it was first announced in 2018. "We are pleased with the steady progress we have made with this large aerospace player and look forward to potentially entering into a commercial production opportunity for Vuzix beginning in 2022," said Paul Travers, CEO of Vuzix in a statement.
Newrange Gold Corp said it has exercised its option to acquire a 100% interest in the Western Fold property, which forms the eastern portion of its North Birch project northeast of Red Lake, Ontario. The company noted it has now paid a total of $200,000 in cash and issued one million Newrange shares to AurCrest Gold Inc for a 100% interest in the Western Fold property, which is subject to a 2% net smelter return (NSR) royalty.

Magna Mining Inc (TSX-V:NICU) said it expects to have a 'significant' 2022 as the company outlined its plans in a seasonal message to shareholders. "We have an exciting exploration plan in place at our Shakespeare Project and we are anxious to get started again in the new year. We firmly believe that in the years to come, 2022 will be seen in retrospect as a very significant year for our company," the firm said.

Numinus Wellness Inc, a leader in psychedelics-focused mental healthcare, has applauded Health Canada's leadership in amending the Special Access Programme (SAP) to allow physicians to request patient access to psychedelic treatments. The amendment includes MDMA and psilocybin, among other drugs. Once the amendment is published in the Canada Gazette, potentially on January 5, 2022, practitioners could request access to restricted drugs on behalf of patients with serious or life-threatening conditions in instances where other therapies have failed or are unsuitable. This would work strictly on a case-by-case basis. Numinus noted that the amendment has the potential to “positively affect” the lives of people experiencing serious mental health conditions when other therapies have failed, are unsuitable or unavailable in Canada.
Alternus Energy Group PLC, the independent power producer, said it further strengthened its position in the Polish market after buying 12.9 megawatts (MW) of operational solar photo-voltaic (PV) assets for around €13 million. The deal was fully funded by the €20 million bond issuance completed by Alternus in November this year. Alternus is partnered with a local developer for the construction of the projects - part of a deal with a total contracted pipeline of 24-megawatt peak (MWp). The additional 11 MWp is currently expected to reach commercial operation in the first quarter of 2022.

Milestone Scientific Inc (NYSE:MLSS) has announced an agreement with medical and dental device company Andau Medical to distribute Milestone’s STA Single Tooth Anesthesia System in the US and Canada. “We initially began our collaboration with Andau around our CompuFlo Epidural Instrument in Canada,” Milestone Scientific CEO Arjan Haverhals said in a statement. “In addition to medical devices, they have a strong track record introducing dental instruments to the market, which we believe will help further fuel the strong momentum we’re experiencing within our dental division,” Haverhals added.
Power REIT (NYSE-A:PW) Inc revealed that it has struck a debt financing facility with a commercial bank for an initial $20 million amount, and it said it plans to use the proceeds as a “growth vehicle” to acquire new greenhouse cultivation properties, as well as fund improvements at its existing ones. "We are excited to enter into this financing arrangement," Power REIT (NYSE-A:PW) CEO David H Lesser said in a statement. "This debt facility culminates months of effort and reflects the close working relationship and trust that we have developed with the bank. This transaction allows us to continue our growth trajectory by deploying non-dilutive capital at a significant investment yield spread to the borrowing cost.” Lesser said he believes the debt facility could be expanded as the company added “additional unencumbered assets to the borrowing base used to calculate the amount of funding the bank is prepared to advance.“

The company had total cash as at October 31, 2021, of C$36.7 million, compared to C$27.1 million at the beginning of its fiscal year on January 31, 2021. Post-period-end, the company recently reported the results of a preliminary economic assessment (PEA) completed on the Current and Escape deposits at the project, which had shown "robust metrics". The after-tax net present value (NPV) came in at C$378.4 million, using a 5% discount rate, as well as an after-tax internal rate of return (IRR) of 29.8%.
