Sensyne Health PLC (AIM:SENS) has formally begun a process to find a buyer for the business after being approached by the company’s founder and chief executive, who wants to take the data analytics specialist private.
Sensyne has appointed JP Morgan and Peel Hunt to oversee the process. The two banks will consider largest shareholder Lord Drayson’s management buyout offer if the approach crystalises into a firm bid.
At the same, time the advisors will explore other “buyer interest” along with other strategies that might allow Sensyne to “scale more rapidly”.
In a press release announcing the decision to assess the future of Sensyne, the board said it believed the current market capitalisation of the company does not represent the “fair value” of the firm or the data it holds.
This anomaly was preventing it from “executing opportunities” to create new treatments for patients, investors were told.
Chairman Sir Bruce Keogh said: "The board is fully aligned with Lord Drayson's proposal to explore a management buy-out as one route towards maximising value for all stakeholders while respecting our heritage and unique, ethical business model. We recognise Paul's continued motivation and commitment towards the success of the business.”
Drayson told investors he had begun the MBO process to ensure the company could maximise value for all stakeholders, including NHS partners that currently hold shares.
“My goal, working with the world-leading Sensyne team, remains consistent: to improve patient care and accelerate medical research and achieve fair value more effectively," he added.
