Zoglo’s Incredible Food Corp announced it will start trading on the Canadian Securities Exchange on July 26.
The plant-based food company markets appetizers, vegetables and meat substitutes in over 700 retail stores across Canada, as well as representation in the US and Europe.
"We are pleased to be publicly listed and share Zoglo's unique positioning amongst some of the world's leading plant-based food companies and to bring to Canada the next generation of plant-based meat substitutes and proteins,” CEO Anthony Morello said in a statement.
“This is true innovation in terms of taste and texture for the consumers."
According to its final prospectus dated July 20, the company should have 99.75 million shares issued and outstanding, 46 million of which are subject to escrow restrictions or voluntary hold periods.
Another 6.35 million shares are reserved for issuance pursuant to the exercise of outstanding stock options and an additional 1.6 million shares are reserved pursuant to the exercise of warrants, according to a release.
The company said an unnamed director has entered into an escrow agreement with Zoglo’s and an escrow agent pursuant to which the escrow shareholder has deposited 46 million shares, which will be released in accordance with terms of the agreement over a 36-month period after the listing date.
In addition, 41.4 million shares are subject to a voluntary 12-month escrow, whereby 30% will be released four months from the listing date and 30% will be released every four months thereafter.
