Empyrean Energy PLC (AIM:EME, FRA:E1E) traded at 0.050p, up 33% in early trading, as the Nations farm-down provided funding certainty for Mako’s development.
The completed transaction gives PT Nations Natuna Barat a 75% non-operated participating interest in Indonesia’s Duyung PSC and significantly reduces Empyrean’s development funding requirements and associated risk.
After completion, Conrad Asia Energy, through its operator subsidiary West Natuna Exploration Limited (WNEL), confirmed Mako is fully funded, and development activities are well underway.
Separately, Empyrean chief executive Gaz Bisht said the partnership provided funding certainty without requiring further equity.
The approval triggered a $4 million payment from Nations, representing the second tranche of the $16 million cash consideration.
The remaining $7 million is payable upon commencement of commercial production.
Under arrangements with Conrad and WNEL, Empyrean is entitled to 8.5% of all cash payments to WNEL, including revenues from Mako gas sales.
With approval from Indonesia’s Ministry of Energy and Mineral Resources, Empyrean expects to complete the final steps of transferring its interest into WNEL Holdings shortly.
Those steps require no further government approval, although issuance of Empyrean’s 8.5% equity interest in WNEL Holdings remains pending.
Meanwhile, Empyrean is progressing the final reconciliation with Conrad, including settlement of the 50% cash-call payment of US$353,388, together with other applicable taxes, costs and expenses.
Upon completion of the remaining settlement steps, including Empyrean’s equity issuance, Conrad will hold a 22.875% operated participating interest in Duyung PSC through its interests in WNEL.
After completing the transactions, Conrad will issue a restated reserves and resources report. The next major operational milestone is first gas, targeted for the fourth quarter of 2027.
