Replenish Nutrients Holding Corp (CSE:ERTH, OTC:VVIVF, FRA:7KE) has received gross proceeds of $104,508 in the first monthly settlement under its $1.95 million financing agreement with Sorbie Bornholm LP.
The settlement, effective August 11, 2026, is the first of 24 consecutive monthly payments under a sharing agreement from March 2026.
The payments are based on a notional monthly amount of $81,250, adjusted according to the difference between a benchmark price of $0.1730 and the 20-day volume-weighted average price of Replenish's common shares on the Canadian Securities Exchange.
For this settlement, the calculation produced an equity amount of $96,655, representing an effective discounted price of $0.1428 per share. Because that price exceeded the maximum discount permitted under CSE policy, the amount was adjusted upward to $104,508, equal to a discounted price of $0.1544 per share.
In connection with the settlement, 677,083 common shares were released from a contractual hold period.
The company said there is no upper limit to the cash it may receive under the agreement, though total proceeds could fall short of the full $1.95 million if the share price stays below the benchmark during the 24-month term.
A decline in the share price cannot result in more shares being issued to Sorbie.
