Environmental Clean Technologies expands Flash Joule Heating platform with Xenica acquisition and A$12 million raise

Environmental Clean Technologies Ltd (ASX:ECT, OTC:ECTHF) has entered into a binding agreement to acquire 100% of Xenica Materials Pty Ltd, securing exclusive commercial rights to use Flash Joule Heating technology for the production of MXenes and two-dimensional amorphous carbon.

The acquisition represents a major step in ECT’s strategy to build a diversified advanced technology business around the commercial application of Flash Joule Heating, or FJH.

ECT has also received firm commitments from sophisticated, professional and institutional investors to raise up to A$12 million before costs through a strongly supported placement.

Expanding addressable markets

Xenica holds an exclusive licence from William Marsh Rice University, through its wholly owned subsidiary, covering the use of Rice’s proprietary FJH technology to manufacture MXenes and two-dimensional amorphous carbon.

The transaction expands ECT’s FJH portfolio beyond its existing applications in per- and polyfluoroalkyl substances remediation and into advanced materials manufacturing and industrial processing.

MXenes are a high-performance class of advanced material with potential applications across electromagnetic shielding, radar and infrared-absorbing materials, advanced sensors, fast-charging batteries, water treatment and next-generation electronic devices.

Despite this potential, commercial adoption has been constrained by conventional acid-based etching methods, which are hazardous, slow and expensive and have largely limited production to laboratory scale.

FJH offers the potential to replace chemical etching with a rapid, electrically driven and lower-waste process, materially reducing production costs and processing times while supporting larger-scale manufacturing.

Platform technology strategy

ECT chairman Faldi Ismail said the acquisition represented the second major step in the company’s strategy to expand the commercial reach of its FJH platform, following the acquisition of Terrajoule last year.

“Our strategy has been consistent and deliberate, to selectively secure complementary technologies that expand the commercial reach of our Flash Joule Heating platform,” Ismail said.

“Last year’s acquisition of Terrajoule was the first step in executing that strategy. Today’s acquisition of Xenica is the second, materially expanding our addressable market.

“For more than a decade, the commercial potential of MXenes has been constrained not by demand, but by the industry's ability to manufacture them economically at scale.

“We believe Flash Joule Heating has the potential to break through that production ceiling and unlock the next phase of commercial adoption.”

Ismail said ECT saw a particular near-term opportunity in defence, where the ability to manufacture MXenes at scale as a versatile and stable powder could provide a meaningful competitive advantage.

“This acquisition reinforces our conviction that Flash Joule Heating is becoming a platform technology capable of supporting multiple high-value industrial applications,” he said.

“We are building ECT to deliver returns across multiple high-value markets, not just one. Xenica is the next disciplined step in that strategy, and it materially expands the addressable market this platform can capture.”

Development agreement with Metallium

In support of the acquisition, ECT has entered into a research, development and engineering agreement with Metallium Ltd (ASX:MTM) and its wholly owned subsidiary Flash Metals USA Inc.

Under the agreement, Metallium will assist ECT in advancing its MXene production technology at the Gator Point facility in Chambers County, Texas.

Gator Point is Metallium’s first commercial FJH technology campus, where reactor operations have been commissioned and validated to support the deployment of Metallium’s proprietary platform for critical metals recovery.

The Xenica acquisition and Metallium engineering agreement are expected to provide ECT with both the exclusive commercial rights and operating platform required to accelerate the commercial development of its FJH-based MXene technology.

Metallium managing director and chief executive Michael Walshe said the company had invested significantly in scaling the technology since licensing it from Rice University.

“We are pleased to support ECT in advancing the commercial development of its MXene technology using Metallium's proprietary Flash Joule Heating platform,” Walshe said.

“Since licensing the technology from Rice University, Metallium has invested significantly in engineering and commercialisation, transforming the original laboratory-scale process into a proprietary, significantly scaled-up reactor platform capable of supporting multiple commercial applications.

“MXenes represent one of the most exciting emerging advanced materials, with potential applications across defence, advanced electronics, next-generation batteries, sensors and water treatment.

“Conventional production methods remain slow, hazardous and difficult to scale, and we believe our proprietary Flash Joule Heating platform has the potential to provide a step-change in manufacturing efficiency and scalability.”

Next steps

ECT will work with Metallium to advance the engineering and commercial development of the MXene production process at Gator Point.

The A$12 million placement will support the acquisition and help fund development activities as ECT seeks to establish FJH as a platform technology across environmental remediation, advanced materials and other high-value industrial markets.
