GCM signs binding ALVC deal to advance integrated thermal management product

GCM Corp (ASX:GCM) has signed a binding 24-month Joint Development Agreement (JDA) with China-based thermal management manufacturer Shenzhen Wanwei Heat Conduction Technology Co., Ltd. (ALVC) to develop an integrated thermal management product combining ALVC’s vapour chamber technology with GCM’s VHD heat sink platform.

The agreement marks a third-party selection of GCM’s VHD technology, with ALVC choosing the company’s heat sink solution as an alternative to incumbent aluminium products after assessing its thermal performance characteristics.

Under the JDA, the two companies will jointly design, prototype, test and work toward commercialisation of a product that integrates an ALVC vapour chamber with GCM’s VHD heat sink technology.

The partnership supports GCM's strategy of embedding VHD components into broader thermal management platforms and customer-facing product solutions. If the product proceeds to commercialisation, ALVC is expected to lead sales and marketing, while GCM will supply the VHD heat sinks used in the final product. ALVC must purchase those VHD heat sinks from GCM, subject to agreed commercial terms, purchase orders, specifications and production capacity.

The companies will work exclusively with each other during the 24-month term in relation to the protected product design and substantially similar ALVC/GCM integrated combinations, subject to agreed carve-outs.

Targeting high-growth thermal management markets

The collaboration is aimed at markets where demand for advanced thermal management is increasing, including data centres, high-performance computing, electric vehicles, communications infrastructure and industrial electronics.

ALVC identified the VHD heat sink as offering potential performance advantages over conventional aluminium heat sinks, with VHD’s heat dissipation, weight and thermal efficiency characteristics supporting ALVC’s decision to partner with the company.

GCM CEO and managing director Clinton Booth said the JDA created a defined technical and commercial pathway with ALVC.

“This JDA and the further commercial agreement to be reached under it formalises a clear technical and commercial pathway with ALVC for an integrated product that combines complementary thermal management technologies,” Booth said.

“Importantly, the agreement preserves GCM's ownership of its VHD technology and establishes GCM as the exclusive supplier of VHD heat sinks used in the jointly developed product, subject to the commercial terms and purchase orders to be agreed.”

Development work to begin

The development plan, still to be agreed, may include concept and interface design, thermal simulation, prototype manufacture, mechanical integration, testing, customer demonstrations, design revisions and production readiness work.

Booth said GCM’s near-term focus would be on technical execution, including finalising the development plan, producing prototypes and validating the integrated design.

“Our immediate focus is technical execution which includes finalising the development plan, producing prototypes and validating the integrated design. Commercial launch and revenue will remain dependant on successful development and agreement of separate commercial terms, with no current assurance that commercialisation will occur, but the JDA provides a disciplined framework to progress that work."

ALVC CEO Riken Lee said the company had “reached a performance ceiling with aluminium heat sinks” and would use the JDA to combine its vapour chamber design and manufacturing capability with GCM’s VHD heat sink technology.

Commercial terms still to be finalised

The JDA does not yet include binding production volumes, minimum orders or customer orders. GCM said it was not currently able to quantify potential revenue or financial impact from the collaboration.

Any commercial launch remains subject to successful technical development, production readiness, execution of commercial terms and customer demand, with no assurance that commercialisation will occur.
