Genco Shipping & Trading rejects Diana Shipping takeover offer

Genco Shipping and Trading (NYSE:GNK) has told shareholders to reject an unsolicited tender offer from Diana Shipping Inc., with its board concluding that the bid undervalues the drybulk shipping company's assets and business and fails to provide a control premium.

The board reiterated its unanimous opposition to the offer on two grounds: that the price does not reflect the underlying value of Genco's fleet and operating platform, and that it carries no premium for control of one of the larger US-listed drybulk owners.

The company framed its response as a defence of its standalone valuation rather than a rejection of consolidation in principle.

Genco operates a fleet of dry bulk carriers that transport iron ore, coal, grain and other commodities along global trade routes, placing it among the larger publicly traded US drybulk operators. Earnings for drybulk owners track charter rates, which move with commodity demand and vessel supply, while secondhand ship values feed directly into the net asset value calculations the board cited in rejecting the offer.

The rejection keeps Genco on course as an independent operator and signals to the bidder that any successful transaction would require a higher price reflecting both asset value and a control premium. The board did not disclose revised terms or say whether discussions with the bidder are continuing.

Diana holds approximately 14.7% of Genco's stock and is pushing for six board seats, with a shareholder meeting set for June 18, 2026.

Genco Shipping & Trading Ltd. owns and operates a fleet of dry bulk vessels serving international commodity trade routes, chartering its ships to transport major and minor bulk cargoes worldwide.
