M2i Global and Volato Group target late-May merger completion

M2i Global Inc (OTC:MTWO) and Volato Group (NYSE:SOAR) announced that they are aiming to complete their proposed merger in late May 2026, after clearing a key regulatory step that allows the transaction to move forward to a shareholder vote.

The US Securities and Exchange Commission (SEC) has declared effective the companies’ Form S-4 registration statement, a required filing for stock-based mergers.

The approval enables both firms to proceed with final preparations, including distributing detailed information to shareholders and seeking formal approval for the deal.

A special meeting of Volato shareholders is scheduled for May 7, where investors will vote on the proposed transaction.

“This is a crucial step forward for the transaction and a clear signal that we are entering the final stretch,” M2i Global CEO Major General (Ret) Alberto Rosende said in a statement.

“SEC effectiveness allows both companies to focus on execution, closing, and delivering the strategic value we believe this combination can unlock.”

Mark Heinen, Volato’s chief financial officer, said the milestone provides clarity on timing.

“With a defined record date and an expected shareholder meeting date, we believe the market can now more fully evaluate the opportunity ahead,” Heinen said.

If approved, the merger would combine Volato’s aviation technology and software capabilities with M2i Global’s focus on critical minerals and supply chain resilience. The combined entity is expected to pursue diversified revenue opportunities and operational efficiencies.

Shares of M2i Global were set to open 19% higher on Monday, with Volato stock set to start the session up 10%.
