Miivo Holdings Corp (TSX-V:MIVO) said it has received final approval from the TSX Venture Exchange for its acquisition of Dubai-based Tandem Partners, first announced in January 2026.
The AI-driven financial intelligence platform provider also said disinterested shareholders overwhelmingly approved the deal through written consent, clearing another hurdle toward closing.
CEO Alexander Damouni said the approvals reflect confidence in the transaction and its strategic rationale.
“We are committed to completing the integration of Tandem's advisory capabilities with Miivo's AI platform and are focused on delivering value to our shareholders as we move forward,” Damouni said.
Tandem, a long-time partner of Miivo, has provided executive services and played a role in developing the company’s AI-powered CFO platform. The firm specializes in advisory and operational management services for small and medium-sized enterprises.
The acquisition, first announced in January, will see Miivo purchase all outstanding shares of Tandem for C$1.25 million, with one-third payable in cash and the remainder in shares priced at C$0.60 each. Half of the consideration is due at closing, with the balance payable six months later.
Miivo said the transaction is expected to strengthen its internal capabilities and support the rollout of its AI-driven products, particularly as it targets growth in the North American market.
“Tandem's advisory expertise, combined with Miivo's AI platform, positions us to enhance our offering to SMEs globally and accelerate our path forward,” CEO Damouni said in January. “Miivo is entering an exciting phase of organic growth as we prepare to roll out our products in the North American market in Q1 2026.”
The company expects to complete the share transfer in due course but warned that administrative processes related to transferring Tandem shares could face delays due to the current geopolitical situation in the Middle East. Miivo said such delays are procedural and do not alter the terms of the deal or the commitment of either party.
