Digi Power X Inc (NASDAQ:DGXX, FRA:1NQ0, TSX-V:DGX) has announced a new development phase for its artificial intelligence infrastructure platform, US Data Centers (USDC), including the involvement of telecommunications executive Hans Vestberg as a co-founder and senior advisor.
The initiative is intended to expand USDC as a stand-alone platform focused on manufacturing and deploying modular Tier III AI data centers, while Digi Power X continues to focus on energy-optimized digital infrastructure operations.
Vestberg, former chairman and chief executive officer of Verizon Communications and a current board member at BlackRock, will support USDC’s strategy to scale AI computing infrastructure globally.
Under the updated structure, USDC will lead the manufacturing, distribution and deployment of modular AI data centers, while Digi Power X will develop and operate energy-efficient digital infrastructure assets, including power generation and high-performance computing facilities.
At the center of the USDC platform is the ARMS (AI-Ready Modular Solution) system, a proprietary modular data center designed to support high-density graphics processing unit (GPU) clusters used for large-scale AI workloads such as machine learning training, inference and generative AI.
The company said the system is intended to address a growing gap between demand for AI computing capacity and the pace of traditional data center construction. Conventional facilities can take years to design and build, while ARMS-based deployments are designed for faster installation and incremental scaling.
Each ARMS unit is a self-contained modular data center designed to meet Tier III reliability standards and support expanding compute capacity as demand grows, according to the company.
USDC plans to generate revenue through infrastructure manufacturing and deployment for enterprise, government and cloud customers. Target markets include hyperscale cloud providers seeking rapid capacity expansion, enterprises deploying private AI infrastructure, sovereign computing initiatives requiring domestically controlled systems, and colocation operators seeking pre-built AI-ready facilities.
The modular architecture allows installations to range from individual units to multi-megawatt campus deployments.
To support the next development phase, USDC completed an initial capital raise through the issuance of preferred shares. The transaction issued 3.2 million preferred shares for approximately $800,000, implying a valuation of about $10 million for the entity.
Digi Power X remains the majority shareholder in USDC, holding more than 50% of the company’s equity through common stock.
Michel Amar, Digi Power X CEO, said Vestberg brings significant experience in global telecommunications infrastructure and technology leadership. “His involvement will significantly strengthen USDC's ability to build a next-generation AI infrastructure platform designed to meet the growing global demand for AI compute,” Amar said.
Vestberg said global demand for AI computing is increasing rapidly and that modular infrastructure could play a role in expanding capacity.
“I see a clear opportunity for US Data Centers to lead this space,” Vestberg said. “By leveraging our scale and execution, we will build the next generation of infrastructure and create a truly world-class platform. I look forward to partnering with USDC leadership team to deliver on this vision and drive the business forward."
The company also disclosed that certain officers and directors received a total of 10.2 million shares of USDC common stock in exchange for services.
