JV strengthens Control Bionics’ US AAC push with capital-light iOS expansion

Control Bionics Ltd (ASX:CBL)'s newly announced US joint venture with NextLevel Assistive Technology will enable it to scale into the largest segment of the American augmentative and alternative communication (AAC) market without taking on manufacturing risk. The United States has an estimated 2.5–3.5 million individuals requiring speech-generating solutions. Tablet-based devices, particularly those built on iOS platforms, now account for around 60–70% of new US SGD prescriptions. Annual US SGD volumes are estimated at 55,000–65,000 units, with iOS-based devices representing a US$100–150 million annual segment.

The company’s US subsidiary, Control Bionics Inc., has entered into an exclusive manufacturing, distribution and intellectual property licence agreement with NextLevel to commercialise a new range of Apple iOS-based speech generating devices (SGDs) in the United States.

Under the agreement, Control Bionics will act as FDA Manufacturer of Record and distribute the devices through its established US partner channels, while NextLevel will fund all device tooling and manufacturing. Control Bionics will receive a fixed per-device contribution margin.

“This partnership allows Control Bionics to participate at scale in the largest segment of the US AAC market through our existing distributor channels, without capital investment or manufacturing risk. It is revenue, profit and cashflow accretive.

"It complements our NeuroNode neural-interface platform by adding a high volume iOS device portfolio, strengthening our position as a leading AAC technology supplier to distribution partners across the United States,” Steele said.

Distributor negotiations underway

Control Bionics is currently in advanced negotiations with multiple US distributors under non-binding letters of intent. These arrangements contemplate potential annual volumes of approximately 1,000–1,500 iOS devices, subject to definitive agreements, regulatory and reimbursement processes, and market rollout.

There is no certainty that the negotiations will result in binding agreements or that the contemplated volumes will be realised.

Under the structure of the joint venture, NextLevel will design and manufacture device chassis and components, retaining ownership of the intellectual property, while Control Bionics undertakes final assembly, regulatory compliance and distribution.

The agreement aligns with Control Bionics’ distributor-led US strategy and is structured as a capital-light model with positive working capital dynamics.
