Nextech3D.AI (CSE:NTAR, OTCQX:NEXCF) announced that it has signed a definitive agreement to acquire Krafty Labs, an AI-based virtual and in-person event engagement platform with a global enterprise customer base.
The agreement was executed on December 4 and the companies have entered a formal due diligence and integration period, Nextech3D.ai said on Tuesday.
Closing is expected in the first week of January 2026, subject to board approval, CSE approval, and customary conditions.
Krafty Labs has generated approximately $1.1 million in revenue year-to-date with a 72% gross margin. The company delivers virtual team-building sessions, leadership and training programs, wellness experiences and cross-cultural learning formats, and recently expanded into in-person enterprise events.
Its customer list includes Alphabet Inc (NASDAQ:GOOG), Netflix Inc (NASDAQ:NFLX, XETRA:NFC), Meta Platforms Inc (NASDAQ:META, XETRA:FB2A, SIX:FB), Oracle Corp (NYSE:ORCL, XETRA:ORC), Microsoft Corp (NASDAQ:MSFT), Cisco Systems Inc (NASDAQ:CSCO, XETRA:CIS), Dropbox Inc (NYSE:DBX) and more than 400 additional Fortune 500 and multinational firms.
Following the acquisition, Nextech3D.ai will operate Krafty Labs alongside its existing Map Dynamics and Eventdex platforms. The company said the combined operations will serve more than 1,000 customers globally and will create a unified AI-based event solutions ecosystem.
According to Nextech3D.ai, the expanded platform is intended to reduce vendor fragmentation for customers and broaden its recurring software revenue potential.
Nextech3D.ai said it expects the scale of the combined businesses to support broader product adoption and to provide the ability to bundle services across departments within large organizations. The company also noted that integrating additional AI tools into scheduling, facilitation and program delivery may improve operational efficiency and margins over time.

"With more than 1,000 customers worldwide - including leaders in technology, media, and enterprise - and with the addition of in-person events, we are positioned for scale, revenue growth, and strong momentum into 2026."
The total purchase price for Krafty Labs is about $600,000 in cash. Nextech3D.ai said that $325,000 will be payable at closing, while the remaining $275,000 will be financed through a 36-month note at a 7% interest rate.
Shares of Nextech3D.ai added over 13% in early over-the-counter trading on Tuesday morning at US$0.13 and added 10.7% in Canada at C$0.16.
