Nuix Ltd (ASX: NXL) has agreed to acquire French graph-intelligence company Linkurious SAS, strengthening the company’s data analytics and visualisation capabilities as part of its ongoing innovation strategy.
Founded in 2013 and headquartered in Paris, Linkurious provides a graph-powered AI decision platform used to visually explore and investigate complex data, detect patterns and analyse alerts. The company serves customers across North America, Europe and the Asia-Pacific region, including several shared clients with Nuix. At June 2025, Linkurious reported Annualised Contract Value of approximately €7 million (A$12 million) and delivered positive EBITDA and operating cash flow for the 2024 financial year.
Nuix said the acquisition will accelerate development of its Nuix Neo platform by integrating graph-native expertise, advanced link-analysis technology and additional workflow capabilities. Interim CEO John Ruthven said combining the teams will expand sales and distribution opportunities and create new use cases for Nuix Neo.
Deal Structure and Consideration
The transaction values Linkurious at up to €20 million (A$35.4 million), comprising:
- An upfront €12.5 million (A$22.1 million) cash payment on completion
- €2.5 million (A$4.4 million) in Nuix shares held in escrow for 12 months
- A contingent €5 million (A$8.8 million) earnout tied to Annualised Contract Value growth and cross-sell synergies over 24 months
Funding and balance sheet impact
Nuix expects to fund up to A$30 million of upfront costs through a combination of debt and existing cash reserves. This includes the acquisition payment, a net cash adjustment of roughly A$4.4 million and as much as A$3.5 million in transaction fees.
The company has increased its debt facility to A$50 million and plans to draw A$20 million for the acquisition, with up to A$10 million to come from cash on hand. The remainder of the facility will stay largely undrawn.
Timing and strategic outlook
Completion is targeted for the first quarter of calendar 2026, subject to standard closing conditions and regulatory approvals, including France’s Foreign Direct Investment review.
CEO of Linkurious Sébastien Heymann said joining Nuix will help scale the company’s technology globally and enable both companies to drive greater value for customers.
