Johnson & Johnson strengthens oncology portfolio with $3B Halda Therapeutics acquisition

Johnson & Johnson (NYSE:JNJ) announced that it has entered into a definitive agreement to acquire Halda Therapeutics, a clinical-stage biotechnology company focused on developing targeted oral therapies for solid tumors, for $3.05 billion in cash.

Halda’s lead candidate, HLD-0915, is a once-daily oral therapy for prostate cancer that received FDA fast track designation in August 2025 following positive preliminary data from Phase 1/2 trials. The therapy utilizes Halda’s proprietary Regulated Induced Proximity Targeting Chimera (RIPTAC) platform, which is designed to selectively target and kill cancer cells while sparing healthy cells, including in patients who have developed resistance to existing treatments.

In addition to HLD-0915, Halda’s pipeline includes earlier-stage candidates for breast, lung, and other tumor types. The company’s platform also has potential applications beyond oncology, according to J&J.

“This acquisition further strengthens our deep oncology pipeline with an exciting lead asset in prostate cancer and a platform capable of treating multiple cancers and diseases beyond oncology, providing a potential mid- and long-term catalyst for growth,” said Jennifer Taubert, Executive Vice President and Worldwide Chairman, Innovative Medicine at J&J.

“We look forward to combining Halda’s pipeline, platform and people with our world class R&D, commercial and manufacturing capabilities and advancing our goal of bringing these therapies to patients around the world.”

The transaction is expected to close within the next few months, subject to antitrust clearance and other customary conditions.

Under the terms of the agreement, the acquisition will be accounted for as a business combination. J&J expects a short-term dilution of $0.15 to adjusted earnings per share in 2026 due to financing and one-time equity awards for Halda employees. The company plans to provide full-year 2026 guidance during its Q4 earnings call on January 21, 2026.

Shares of J&J added 1.6% at about $199 following the announcement.
