Replenish Nutrients Holding Corp (CSE:ERTH, OTC:VVIVF) announced that it has entered into a three-year licensing agreement with Farmers Union Enterprises Inc to expand production of its patented SuperKS pellet fertilizer in the US.
Per the agreement, Farmers Union Enterprises (FUE) will have exclusive rights to manufacture and distribute SuperKS within its network across Minnesota, Montana, North Dakota, South Dakota and Wisconsin.
Farmers Union Industries LLC, majority-owned by FUE and the Farmers Union Marketing and Processors Association, is a farmer-owned organization representing nearly 70 million acres of cropland in the region.
According to Replenish, the deal provides it with its first large-scale entry into the US market and a capital-light path to increase output of SuperKS, which is part of the company’s regenerative-fertilizer portfolio.
FUI plans to renovate and operate a recently acquired processing plant in Crookston, Minnesota, with the initial annual capacity of 50,000 metric tons, scalable to 100,000 metric tons with continuous production.
Replenish will supply raw materials, technical support and quality control, and will manage final sales to distribution partners. FUI will handle capital expenditures, facility operations, and sales and distribution support across its network.
Initial production and sales are expected in late summer or early fall of 2026. Replenish said it expects licensing revenues to average between USD $40 and $60 per metric ton over the initial term of the agreement, depending on final costs and wholesale pricing.
The deal also includes an option to expand into additional territories and future Replenish technologies.

Darin Von Ruden, FUI board chairman, added: "This collaboration supports our long-standing mission to preserve the family farm and provide sustainable solutions for future generations."
Shares of Replenish added over 35% in Toronto on Monday morning to trade around C$0.21.
