Janus Electric executes longform agreements with EVUNI to drive African heavy transport electrification

Janus Electric Holdings Ltd (ASX:JNS) has executed definitive agreements with Singapore-based EVUNI Pte Ltd, formalising a A$5 million strategic placement and a long-term distribution partnership to spearhead the electrification of heavy road transport in sub-Saharan Africa.

The deal follows the memorandum of understanding announced in August and builds on Janus’ broader international expansion strategy.

$5 million placement in two tranches

Under the share placement agreement, EVUNI will acquire 25 million Janus shares at A$0.20 per share, representing a total investment of A$5 million.

The investment will be staged across two tranches:

  • Tranche 1: A$3.5 million for 17.5 million shares, to complete within two business days of conditions being satisfied, expected by 10 October 2025.
  • Tranche 2: A$1.5 million for 7.5 million shares, conditional on the deployment of at least one Janus conversion unit and shareholder approval, to be completed on or before 31 March 2026.

Distribution and licence agreement

Janus and EVUNI have also signed a five-year exclusive distribution and licence agreement, with an option to extend for a further five years.

The agreement gives EVUNI the exclusive right to distribute Janus’ truck conversion kits, battery swap systems and charging infrastructure across the sub-Saharan region. To secure the deal, EVUNI has committed to:

  • An initial order of at least six units within 20 days of commencement.
  • A minimum annual order quantity of 100 units through to June 2026, rising to 250 units per year from July 2026.

Janus will retain ownership of all intellectual property and branded assets under the agreement.

Supporting decarbonisation

Janus CEO Ian Campbell said the partnership positioned the company to play a leading role in Africa’s transport decarbonisation drive.

“Since executing the memorandum of understanding, we have worked closely with the EVUNI team in aligning business and operational plans for success,” Campbell said.

“In addition to welcoming EVUNI as a new strategic shareholder, our work to date has indicated that Janus' technology has tremendous potential and wide application, and we look forward to working together in pioneering the heavy transport industry in the sub Sahara region,” he added. “We are finalising first conversion orders for the region with EVUNI’s existing network and infrastructure, with the first converted truck to enter Janus ecosystem in early 2026.”

EVUNI’s regional focus

EVUNI is developing electro-mobility solutions in Africa, including electrified transport links between the Kalahari Manganese Field — which holds 80% of the world’s manganese reserves — and the port of Ngqura. The company is also working with partners such as Rondebult Construction to convert mining trucks under a battery-as-a-service model powered by Infinite Power’s zero-carbon electricity solutions.

The finalised agreements pave the way for Janus’ initial truck conversions in Africa, slated to begin in early 2026.
