Nebius to raise up to $3B to accelerate AI cloud expansion

Nebius (NASDAQ:NBIS), a leading AI infrastructure company, has announced a major $3 billion fundraising initiative to supercharge the expansion of its core AI cloud business.

The capital package combines a $2 billion private placement of convertible senior notes with a concurrent $1 billion underwritten public offering of Class A ordinary shares.

The financing push comes just days after Nebius unveiled a $17.4 billion multi-year deal with Microsoft to provide AI infrastructure capacity, a transformative agreement that has lifted both the company’s stock price and market profile.

The company said it plans to direct the proceeds from the offerings, if completed, toward fueling its growth, including investments in additional compute capacity and hardware, securing prime land sites with reliable partners, expanding its network of data centers, and covering general corporate needs.

“We believe this will enable us to aggressively grow our core business in 2026 and beyond as we aim to scale our global data center portfolio, including through new greenfield sites, and the expansion of our customer base, from AI native tech startups to larger enterprises,” the company said in a statement.

The $1 billion public share offering will be led by Goldman Sachs as book-running manager, alongside Morgan Stanley, BofA Securities, and Citigroup.

Nebius has granted underwriters a 30-day option to purchase up to an additional $150 million of shares.

Simultaneously, Nebius is offering $2 billion in convertible senior notes in two tranches, $1 billion due in 2030 and $1 billion due in 2032.

The notes include high conversion premiums and tailored call features designed to minimize near-term shareholder dilution and provide balance sheet flexibility.

Purchasers will also have a 13-day option to buy an additional $150 million of each note series.

Shares of Nebius are up 47.5% at about $97 in the last five days, having surged almost 250% in the year to date.
