Israeli insurtech firm Sapiens International (TLV:SPNS) is set to go private, following a $2.5 billion all-cash acquisition by global private equity firm Advent, the companies announced on Wednesday.
Under the deal, Sapiens shareholders will receive $43.50 per share, signalling a generous 47.5% premium over the stock’s closing price of $29.50 on Nasdaq as of the previous trading day.
The board of Sapiens has approved the agreement, which is expected to conclude in the fourth quarter of 2025 or the first quarter of 2026, pending shareholder and regulatory approvals. Post-closing, Sapiens will transition from public listing to private ownership.
Existing major shareholder Formula Systems will retain a minority stake, ensuring continuity and a degree of ongoing influence.

It was established by Tsvi Misinai, Tuvi Orbach, Shai Sole, and others with roots in the Weizmann Institute’s pioneering object‑oriented development efforts.
