Highfield Resources Ltd (ASX:HFR) has extended the exclusivity period granted to Qinghai Salt Lake Industry Co. Ltd, under an amended non-binding Letter of Intent (LOI), to support continued due diligence and negotiations on a proposed US$300 million equity investment.
The revised LOI, involving Qinghai Salt Lake, Highfield and Yankuang Energy Group Co. Ltd (Yankuang), sets a new exclusivity expiry of September 15, 2025, or earlier should binding agreements be finalised or the deal be abandoned. This is a key step in progressing Highfield’s broader strategic transaction, which also includes the proposed acquisition of the Southey Potash Project in Canada.
Highfield confirmed that while negotiations are progressing, no binding agreement has been reached. Investors are advised not to assume any outcome at this stage.
Under the new terms, Qinghai Salt Lake must notify Highfield and Yankuang by August 15, 2025, of its intention to proceed. If confirmed, the parties aim to finalise binding transaction documentation before the exclusivity period ends. Highfield noted that this reflects a strong commitment to advancing a strategic investment that supports its transition to a global potash producer.
Potential US$300 million equity subscription still under negotiation
The proposed equity placement by Qinghai Salt Lake is a significant evolution in Highfield’s funding strategy.
Initially announced via a non-binding LOI in May 2025, the US$300 million investment would support the development of both the Muga Project in Spain and the Southey Project in Canada.
This investment complements Highfield’s earlier proposed US$220 million equity raise, which forms part of a broader transaction involving Yankuang and other strategic investors. Highfield reiterated that no binding agreement is currently in place and discussions on commercial terms are ongoing.
Strategic alignment with China’s leading potash producer
Qinghai Salt Lake is a subsidiary of China Minmetals Corporation and the largest potash producer in China. Its potential cornerstone investment is aligned with Highfield’s strategy to build a diversified and globally significant potash company.
Highfield is also working in collaboration with Yankuang on a proposed acquisition of the Southey potash project in Saskatchewan, Canada. The transaction would mark Highfield’s expansion into North America and consolidate its dual-asset growth platform.
