GTI Energy Ltd (ASX:GTR, OTC:GTRIF) has issued a Notice of Meeting (NoM) ahead of a proposed rebrand to “American Uranium Limited”, alongside several resolutions requiring shareholder approval. The Extraordinary General Meeting (EGM) will consider the company’s proposed new name and ASX ticker change to “AMU”.
GTI believes the new name better reflects its asset base and future direction, with the shift aligning with the company’s US-focused uranium strategy, particularly in Wyoming’s Lo Herma region.
Shareholder approval for A$1.97 million placement tranche
The meeting will also seek approval for the second tranche of a two-part capital raising totalling A$4.5 million announced in June 2025. The A$1.97 million second tranche includes a committed A$1.487 million cornerstone investment by Snow Lake Energy (NASDAQ: LITM), a strategic investor in the uranium and lithium sectors. These funds are expected to support continued development and exploration across GTI’s portfolio.
In addition to new capital raising resolutions, the EGM will vote on the ratification of previous share issues and associated options. Director participation in the placement is also subject to shareholder approval. GTI proposes to consolidate its issued capital on a 1-for-40 basis to streamline its capital structure and potentially enhance trading liquidity.
The board recommends shareholder support for all resolutions.
GTI Energy receives A$2.5 million in Tranche 1 placement, advances permitting
GTI Energy recently secured A$2.5 million (before costs) through the issue of 709,990,858 fully paid ordinary shares as part of the first tranche (Tranche 1) of its previously announced A$4.5 million two-part capital raising.
The second tranche (Tranche 2), valued at A$1.97 million, is expected to be approved at the upcoming EGM. This includes the cornerstone investment of A$1.487 million from Snow Lake, which holds a 50% joint venture interest in the Pine Ridge Project, bordering GTI’s Lo Herma in-situ recovery (ISR) uranium project in Wyoming.
Snow Lake’s participation remains subject to final due diligence on GTI and its assets. A notice of meeting (NoM) detailing the EGM resolutions is set to be distributed next week.
Updated drilling permits for the Lo Herma Project have been submitted to both the Wyoming Department of Environmental Quality (DEQ) and the US Bureau of Land Management (BLM). Both agencies have acknowledged receipt and confirmed the submissions passed initial completeness checks.
A field inspection of previously drilled sites has also been completed with DEQ staff.
