M2i Global, Volato agree to merger, forming dual-platform NYSE-listed company

M2i Global (OTC:MTWO), a critical minerals supply-chain developer, has agreed to be acquired by aviation technology company Volato Group Inc. (NYSE American: SOAR) via a non-binding term sheet.

The deal creates a dual-platform public company, combining M2i Global’s critical minerals infrastructure business with Volato’s aviation software and travel services.

The transaction, executed as a reverse merger, positions Volato to assume a diversified public company structure while M2i Global gains access to an NYSE American listing.

The restructured Volato will be led by Maj Gen (Ret) Alberto Rosende, currently CEO of M2i Global.

“Combining with Volato Group aligns perfectly with our goals,” Rosende said in a statement.

“Leveraging a NYSE American listing would enable M2i Global to establish new strategic relationships and utilize a public currency to drive growth and acquire complementary businesses. Volato Group and its current CEO Matt Liotta have demonstrated their technology expertise with their development and enhancements of Vaunt, a fast-scaling experiential travel platform. Their technology proficiency, specifically in proprietary software and blockchain, is very complementary to our planned initiative in tracking and tracing of minerals.”

Volato CEO Matt Liotta will transition to President of aviation technology business lines, while Mark Heinen will remain CFO.

“The importance of transparency from the original source is a critical component to our critical minerals and metals platform and we look forward to Matt and his team helping us achieve our goals,” Rosende added.

M2i Global plans to leverage the NYSE listing to drive acquisitions and partnerships in the minerals space.

M2i Global’s operations span copper offtake agreements, battery technology recycling ventures, and plans for a US Strategic Mineral Reserve. Its partners include NT Minerals, Reforme Group, and Regenerate Technology Global.

Volato, which reported Q1 revenue of $25.5 million and net income of $0.5 million, operates platforms including Vaunt, a private travel booking network with over 110 aircraft. The company expects Q2 revenue between $24 million and $26 million and net income up to $3 million.

M2i Global is chaired by Doug Cole, former CEO of American Battery Technology, and counts former White House officials Peter O’Rourke and Camilo Sandoval among its senior advisors.

Upon completion, current M2i Global shareholders would own approximately 90% of the fully diluted, as-converted common stock of the combined company, excluding public warrants, while existing Volato shareholders would retain the remaining 10%.
