Anteris appoints new directors and confirms board transition

Anteris Technologies Pty Ltd (ASX:AVR, NASDAQ:AVR). has appointed two new independent directors to its board—Gregory Moss and David Roberts—as part of its ongoing leadership development. Moss will serve as a Class I Director until the 2025 annual stockholder meeting, while Roberts has been appointed a Class III Director, with a term extending to 2027. Both appointments are effective from June 7, 2025 (USA) / 8 June 2025 (Australia) and include respective committee assignments.

The appointments follow the resignation of Dr Wenyi Gu from the board on 5 June 2025 (USA) / 6 June 2025 (Australia), which the company noted was not due to any disagreement with management or operations.

The appointments come at a time when Anteris continues to increase investment in its global pivotal trial for the DurAVR® transcatheter heart valve (THV) system, entering a resource-intensive phase of the clinical cycle.

Board composition and roles

Moss joins the Anteris board with a legal and business development background, currently serving as Chief Business and Legal Officer at Evommune Inc.

His prior roles include leading Kadmon’s legal and compliance operations through its US$1.9 billion acquisition by Sanofi. He will serve on the Nominating and Corporate Governance Committee.

Roberts, President of LeMaitre Vascular Inc. since 2007, brings extensive operational and finance experience. He has held senior roles at BUCA Inc. and HarbourVest Partners, and will serve on both the Audit and Risk Committee and the Compensation Committee.

Compensation and governance arrangements

As non-employee directors, Moss and Roberts will receive equity grants and cash retainers in line with Anteris’ Non-Employee Director Compensation Policy.

Each will receive an initial equity grant valued at US$250,000, subject to vesting over three years and shareholder approval via the ASX. They will also be eligible for prorated annual grants and monthly cash retainers.

In addition, Anteris has entered into indemnification agreements with both directors to ensure protection under Delaware law for liabilities arising from board service.

Board resignation

The company acknowledged the resignation of Dr Wenyi Gu from his role as Class III Director. His departure was not linked to any issues with the company’s governance or policies. The board expressed gratitude for Dr Gu’s contributions during his tenure.
