Shareholders in International Distribution Services PLC (LSE:IDS) have backed the takeover of the Royal Mail owner by Czech billionaire Daniel Kretinsky's EP Group.
Just over 80% of IDS shareholders voted in favour, with the deal needing at least 75% approval to succeed.
EP Group tabled the £3.6 billion bid in May and the deal passed checks under the National Security and Investment Act in December.
Royal Mail will now be taken into foreign ownership for the first time in its 500-year history.
