Highfield Resources progresses strategic transaction and financing for Muga Project

Highfield Resources Ltd has delivered a quarterly update for December 2024 that points to a promising year ahead and includes a strategic transaction with Yankuang Energy Group and ongoing financing efforts for the Muga Potash Project in Spain.

Strategic financing update

During the quarter, Highfield secured a deal with Yankuang Energy Group Co, Ltd after receiving a statement of no objection from Australia’s Foreign Investment Review Board (FIRB) for its proposed subscription of up to US$376 million in Highfield shares at A$0.50 per share.

The FIRB approval satisfies a key condition in the broader strategic transaction involving the acquisition of the Southey potash project in Saskatchewan, Canada and the associated equity placement.

Highfield continues to update the terms of its Senior Secured Project Finance Facility to better align with the development timeline of the Muga Project.

Negotiations are also underway with Macquarie Specialised Asset Services Ltd. to finalise an equipment operating lease facility of €25 million, with an initial US$4.7 million lease contract for four Komatsu shuttle cars set to be completed by 31 January 2025.

Muga Project developments

Regulatory progress for the Muga Project included updates on the Goyo mining concession.

Highfield received confirmation from the Government of Navarra that it is actively working to rectify procedural flaws related to the concession approval process.

The concession remains integral to the mine plan, with production from Goyo expected in year six of operations.

Potash market and Exploration

Global potash prices remained stable, with European Granular MOP prices trading between €330 per tonne and €340 per tonne.

No significant exploration activities were undertaken during the quarter, as the Company maintains its primary focus on advancing Muga toward construction.

Corporate and financial overview

At the end of the quarter, Highfield held A$12.0 million in cash, down A$1.6 million from the previous quarter.

The company’s operating and investing cash outflows amounted to A$4.9 million, supporting the ongoing development of Muga.

During the quarter, shareholders approved key resolutions at the Extraordinary General Meeting on 30 December 2024, including the ratification of prior equity issuances and the issue of new shares to EMR Nominee, Meritz Securities Co., Ltd.

Upcoming activities in Q1 2025 include:

  • finalisation of the strategic financing process;
  • securing shareholder approval for the creation of a new globally diversified potash company with Yankuang Energy; and
  • completion of the construction readiness plan for the Muga Project.
