General Atlantic, is close to acquiring workplace training firm Learning Technologies Group PLC (AIM:LTG, OTC:LTTHF) in a deal valued at over £800 million.
LTG indicated it was inclined to recommend General Atlantic's cash offer of £1 per share.
The acquisition proposal comes after earlier approaches from the American private equity giant, which is offering LTG shareholders an option to reinvest in its unlisted acquisition vehicle.
LTG, advised by Goldman Sachs and Deutsche Numis, reported £250 million in revenue for the first half of the year, reflecting a 12% decline compared to the same period last year.
The company, led by CEO Jonathan Satchell, was originally listed in 2011.
General Atlantic, which manages $83 billion in assets, made the offer through its Atlantic Park fund.
The firm has previously invested in fast-growing companies such as Alibaba and ByteDance and recently acquired Norwegian edtech group Kahoot in a $2 billion deal.
