Just the Facts: Highfield Resources secures US$220M in funding for potash expansion

Proactive's Tylah Tully breaks down 'Just the Facts' from Highfield Resources Ltd (ASX:HFR)'s latest ASX announcement.

Highfield has secured US$220 million in funding through agreements with Yankuang Energy Group Co Ltd and strategic investors, including Beijing Energy International Holding Co Ltd and Singapore Taizhong Global Development Pte Ltd.

The funding will support the Muga potash project in Spain and Highfield's acquisition of the Southey potash project in Saskatchewan, Canada.

The transactions include an equity raise at A$0.50 per share, representing a 64% premium to the company’s last closing price. This investment will fully fund Phase 1 of the Muga project, a construction-ready potash mine.

Highfield will also acquire Yancoal Canada Resources, the owner of the Southey project, for US$286 million, to be paid in shares.

As a result, Yankuang Energy will become the majority shareholder of Highfield. A feasibility study has already been complete at the Southey project, located 60 kilometres north of Regina, Saskatchewan.

The transaction is expected to close in early 2025, pending regulatory and shareholder approvals.

Highfield’s CEO described the deal as an “outstanding outcome,” providing a strong platform for future growth and significant value for shareholders.
