Cloud DX subsidiary files notice of intention to restructure

Cloud DX (TSX-V:CDX, OTCQB:CDXFF) announced that its wholly-owned subsidiary, Cloud Diagnostics Canada ULC, has filed a Notice of Intention to Make a Proposal (NOI) under the Bankruptcy and Insolvency Act (Canada).

This filing, authorized and approved by the subsidiary’s board of directors, marks the initial step in a formal restructuring process aimed at stabilizing the company’s financial situation.

Cloud Diagnostics Canada ULC is a key subsidiary of Cloud DX (TSX-V:CDX, OTCQB:CDXFF), contributing significantly to the parent company's revenues.

Cloud DX (TSX-V:CDX, OTCQB:CDXFF) noted that the subsidiary is not bankrupt, and customer services will continue uninterrupted.

The board's decision to file the NOI was based on a thorough assessment of the company’s cash flow, financing options, obligations to suppliers, and projected financial performance.

The NOI filing initiates an automatic 30-day stay of proceedings, protecting the company and its assets from creditor claims and enforcement actions. The primary goal of the NOI is to facilitate an orderly sale, investment, and solicitation process, supervised by the Supreme Court of British Columbia, to attract potential buyers or investors for the company's business or assets.

Crowe MacKay LLP has been appointed as the Proposal Trustee to oversee the restructuring process. The company is collaborating closely with the Proposal Trustee and its legal advisors to protect stakeholder interests, aiming to complete the SISP by the end of August 2024.

Following the NOI filing, two directors, Brad Miller and Konstantin Othmer, have resigned from Cloud DX's board. The remaining five directors will continue in their roles.

Cloud DX said it remains focused on restructuring and stabilizing its business operations while exploring strategic alternatives for the future.
