Baselode Energy Corp (TSX-V:FIND, OTCQB:BSENF). has entered into a C$5 million ‘‘bought deal’ private placement with Red Cloud Securities, which will act as sole underwriter and bookrunner on in the offering.
The deal is structured to offer 2.2 million units at C$0.45 per unit, alongside 6.15 million flow-through units designated for charitable purchasers, priced at C$0.65 each.
These units comprise common shares of the company and warrants, while the charity flow-through units include the additional benefit of flow-through shares, as defined by the Income Tax Act (Canada).
Furthermore, Baselode has presented an over-allotment option, allowing the underwriter to purchase additional securities up to C$1 million, enhancing the potential scope of the offering.
The proceeds from the sale of these flow-through shares are earmarked for Canadian exploration expenses, focusing on critical minerals, in alignment with the national exploration strategy.
Baselode also plans to channel funds into exploring its projects in the Athabasca Basin, a region known for its rich uranium deposits, and general working capital purposes.
The offering is set to close around February 14, 2024, subject to the fulfilment of certain conditions, including the receipt of necessary approvals, notably from the TSX Venture Exchange.
This initiative by Baselode aligns with their ongoing efforts to explore and develop uranium resources, particularly in the Athabasca Basin area, where the company holds complete control over approximately 264,172 hectares in the region.
