DX (Group) has agreed terms for a recommended takeover by private equity group HIG Capital worth 48.5p or £315 million in total.
The deal has been under negotiation since first being announced in September, but terms agreed are the same as first announced.
Once completed, logistics group DX will enter new markets, said HIG, utilising its financial clout, something that is being hindered by being listed currently.
Shareholders speaking for 31.6% of the equity in DX have irrevocably agreed to accept the deal.
In a statement, DX added that the directors have also unanimously agreed to recommend the offer on the advice of Moelis.
Shares in DX rose 7% to 46.5%.
