Nextech3D.ai (CSE:NTAR, OTCQX:NEXCF) said it received shareholder approval to move forward with its plan to spin out the company's Toggle3D CAD-3D design studio and associated assets at its Annual and Special Meeting held on June 5, 2023.
The final court hearing to approve the plan of arrangement is scheduled for June 9, 2023, with a record date of June 8. The anticipated trading start date for Toggle3D, under the symbol TGGL, is set for June 13, 2023, subject to the necessary approvals from the Canadian Securities Exchange.
Toggle3D is an innovative software-as-a-service (SaaS) solution that utilizes generative AI to convert CAD files, apply 4K texturing, and facilitate seamless publishing of high-quality 4K 3D models. The platform serves various industries within the lucrative $160 billion CGI market. Its augmented reality-based rapid prototyping web app empowers users to effortlessly create, customize, and publish superior 3D models and experiences, irrespective of their technical or 3D design expertise.
After the IPO spin-out, Nextech3D.ai will retain 13,000,000 Toggle3D shares, representing approximately a 50% ownership stake. The company plans to sell around 8,400,000 shares at $0.25 per unit, including a $0.50 warrant. With a recent funding round raising $2.1 million, Toggle3D's post-money valuation is estimated to be $7.1 million.
The spin-out of Toggle3D follows Nextech3D.ai's successful spin-out of ARway Corp on October 26, 2022. This strategic move highlights Nextech's commitment to driving innovation and maximizing shareholder value by streamlining its business portfolio.
