Beacon Energy posts half-yearly report for period during which the cash shell refocused its strategy

Beacon Energy PLC (AIM:BCE) has announced its half-yearly report for the six months ended 31 October 2022, a period during which the cash shell company refocused its strategy and substantially reduced its cost base in order to preserve cash and assess its next steps following the disappointing outcome on the Buffalo well announced in January 2022.

To implement this strategy, on 26 July 2022, the company successfully raised £425,000 from new and existing shareholders, including £80,000 from directors of the company, to support the pursuit of value-enhancing acquisition opportunities, and on 9 September, the company announced that it had entered into a non-binding heads of terms agreement with the majority owner of a European oil and gas company.

In anticipation of the potential acquisition, the company also sought approval from shareholders to change its name to Beacon Energy to reflect "an exciting new chapter in the company's story" and it said the rebrand process was delivered in a highly cost-effective manner.

After the period ended, on 16 December 2022, the company revealed that it had entered into a conditional share purchase agreement with Tulip Oil Holding BV and Deutsche Rohstoff AG for a reverse takeover of Rhein Petroleum GmbH, which the company's board believes will be a transformational, value-enhancing transaction for shareholders.

In the half-year results statement, Mark Rollins, Beacon Energy's non-executive chairman commented: "We are very excited about the proposed transaction which, if successful, will underpin your company with cash flow, proven Reserves and Resources, and an active work programme designed to create long-term value for Beacon's shareholders."

"We very much see the proposed transaction as a first step in our strategy to build a material international upstream oil and gas business with a focus on cash-generative assets and those with the potential to add significant value in the short to medium term. We look forward to providing updates on our progress as we move through the rest of the year," he added.
