American Resources Corporation (NASDAQ:AREC) told investors that its ReElement Technologies division has achieved ultra-high pure (greater than 99.9%) lithium from its exclusively licensed and patented multi-modal chromatography technology that was developed in partnership with Purdue University.

The company said ReElement is focused on selling its high-purity lithium carbonate (Li2CO3) to the domestic battery manufacturing industry to help satisfy the need for domestically supplied battery materials while aligning with the clean vehicle tax credit as part of the Inflation Reduction Act.

Tiziana Life Sciences Ltd (NASDAQ:TLSA) has hailed news of an improvement in a multiple sclerosis patient being treated with intranasal foralumab in a clinical study.

This second expanded access patient (EA2), who has non-active secondary progressive multiple sclerosis (SPMS), has shown further improvements since last reported in September last year, according to the US Food & Drug Administration (FDA) recognised Expanded Disability Status Scale (EDSS). This is a measure of neural network functioning with ratings from 1 to 10 - a higher score means more disability.

Algernon Pharmaceuticals Inc. (CSE:AGN, OTCQB:AGNPF) said it has set up Algernon NeuroScience (AGN Neuro), a new wholly-owned private subsidiary of AGN Pharma, to advance its psychedelic DMT (N,N-Dimethyltryptamine) stroke program.

The company said it has valued the psychedelic DMT research program at US$20 million and has completed an asset transfer and trademark license agreement, transferring all DMT research program assets into AGN Neuro. The company has also signed a management agreement with AGN Neuro to provide all day-to-day operations, as well as management of the DMT stroke clinical trial program.

G2 Energy Corp (CSE:GTOO, OTC:GTGEF) confirmed that it has filed its unaudited financial statements for the three-month period ended September 30, 2022, accompanying management's discussion and analysis, and related CEO and CFO certifications that were due to be filed on Nov. 29, 2022. The Q1 filings are available for review under the company's SEDAR profile. As a consequence, the company will apply for revocation of the management cease trade order issued by the B.C. Securities Commission in respect of the delayed annual filings in accordance with National Policy 12-202 (Revocation of Certain Cease Trade Orders).

GGX Gold Corp. (TSX-V:GGX) said it has closed the first tranche of the non-brokered private placement previously announced on December 16, 2022, by issuing 1,375,000 flow-through units at a price of $0.08 cents per unit for gross proceeds of $110,000. Each flow-through unit will comprise of one common share (which is a flow-through share for Canadian income tax purposes) and one share purchase warrant. Each whole warrant will entitle the holder to purchase one additional common share at the price of $0.10 for 24 months after closing. Proceeds from the private placement will be used for the continued exploration work on the Gold Drop Property in the Greenwood mining camp of south-central British Columbia. All securities issued in connection with the offering will be subject to a hold period expiring April 29, 2023. The company paid no commission for this tranche. The closing of the private placement is subject to final TSX-V approval.

Kovo HealthTech Corporation (TSX-V:KOVO) said that under its equity incentive plan it has granted a total of approximately 2,406,563 restricted share units (RSUs) to its management team based on meeting key operating milestones in 2022, subject to acceptance by the TSX Venture Exchange and based on the market price at closing on December 29, 2022.

Vicinity Motor Corp. (TSX-V:VMC) has announced the granting of deferred share units (DSUs). Certain eligible directors have requested that their respective director's remuneration for the calendar year 2022 be paid in DSUs and, accordingly, the company has granted 148,437 DSUs in connection with directors remuneration for the fourth quarter.

Klondike Gold Corp. (TSX-V:KG) has announced that it has closed the first tranche of its non-brokered private placement financing, raising $252,400 of which $24,900 is flow-through funds. The company intends to use the proceeds from the financing to continue exploration and development of the company's Yukon properties, as well as for general working capital. In closing the first tranche, the company issued 166,000 flow-through units at a price of $0.15 per flow-though unit, with each flow-through unit comprised of one common share which is a 'flow-through' share for Canadian income tax purposes and one share purchase warrant. The company further issued 2,275,000 non-flow-through units at a price of $0.10 per unit, with each unit comprised of one common share and one share purchase warrant. A total of 2,441,000 share purchase warrants issued in connection with the first tranche are exercisable at a price of $0.20 per share until December 30, 2024. Two insiders of the company participated in the first tranche and acquired an aggregate of 1,900,000 units. All securities issued in connection with the First Tranche are subject to a four-month and one-day statutory hold period expiring on May 1, 2023, in accordance with applicable securities laws and the policies of the TSX Venture Exchange.

MAS Gold Corp (TSX-V:MAS, OTCQB:MSGCF) has announced the closing of a non-brokered private placement of units and flow-through (FT) units. The company issued 2,200,000 units of the company at a price of $0.045 per unit for proceeds of $99,000 and 1,640,000 FT Units at a price of $0.05 per FT unit for proceeds of $82,000. The company intends to use the net proceeds of the offering to fund the exploration and advancement of the company's projects in the La Ronge Greenstone Belt in Saskatchewan as well as working capital and other general corporate purposes. Each unit consisted of one common share of the company and one common share purchase warrant. Each FT unit consisted of one common share to be issued as a 'flow-through share' within the meaning of the Income Tax Act (Canada) and one warrant. Each warrant will entitle the holder to purchase one common share at a price of C$0.08 for a period of 24 months following the distribution date of the offered security. MAS Gold will pay finder's fees on a portion of the offering in accordance with applicable securities laws and the policies of the TSXV. The finder's fee is 6% in cash and 6% in warrants. The common shares issuable from the offering will be subject to a statutory four-month restricted resale period.

Western Magnesium Corp. (TSX-V:WMG, OTCQB:MLYF) has announced the closing of the second tranche of its non-brokered private placement previously announced on November 16, 2022. The second tranche closed on 818,833 units for gross proceeds of US$73,695. The company said it is requesting a 30-day extension to complete the private placement. The offering is for gross proceeds of US$1,300,000.00. Each unit consists of one common share in the capital of the company and one common share purchase warrant. Each warrant will be exercisable into one common share for a period of one year at a price of US$0.18 per share. The completion of the private placement and payment of any commission and fees remains subject to the receipt of all necessary approvals, including the approval of the TSX Venture Exchange. The securities issued will be subject to a statutory hold period in Canada for a period of four months and one day from the closing date.

G2 Energy Corp (CSE:GTOO, OTC:GTGEF) told investors it intends to reprice 6,500,000 outstanding common share purchase warrants originally issued on May 31, 2022. The warrants were issued as part of a secured debenture financing provided by Cloudbreak Discovery PLC, with each warrant entitling the holder thereof to purchase one common share for $0.30 until May 31, 2024 subject to an acceleration clause whereby if the closing price of the company’s common shares is greater than $0.60 for a period of 10 consecutive trading days on the stock Canadian Securities Exchange, then the company may, at its sole discretion, elect to provide written notice that the Warrants will expire at 5pm (Vancouver time) on the date that is 60 days from the date of the Acceleration Notice. G2 said it now intends to amend the warrant exercise price to $0.10 per warrant, while the acceleration provisions common shares price will be amended to $0.30. In addition, G2 said it intends to extend the expiry date of 16,803,000 common share purchase warrants originally issued on February 3, 2021, under a private placement of units of the company. Each warrant is exercisable onto one common share for $0.15 per share and is set to expire two years from its date of issuance. The company has proposed extending the expiry date of the warrants to February 3, 2025, for a total term of four years, with all other terms including their exercise price remaining the same.
