Silver Range Resources Ltd (TSX-V:SNG, OTC:SLRRF) announced that it has struck a definitive agreement to option its Bellehelen project in Nevada to Excalibur Metals Corp.

Excalibur, a private British Columbia company, will receive an option to purchase a 100% interest in Bellehelen for a cash payment of $300,000 and 200,000 Excalibur shares over four years; a 2% net smelter return; and a US$2 per ounce gold-equivalent payment on any future defined resource payable on the exercise of the option.

American Resources Corporation (NASDAQ:AREC) said it has executed its second rare earth oxide offtake agreement with Advanced Magnet Lab Inc (AML) to provide AML high-purity raw rare earth elemental feedstock for its advanced, domestic magnet production.

The company noted that concurrent with the offtake agreement, it has completed an initial strategic investment into AML to further advance the technology and commercialization.

Ncondezi Energy Ltd (AIM:NCCL, OTC:NCDZF) has signed a master services agreement with Synergy Consulting to provide financial and transaction advisory services for its 300MW solar project in Mozambique.

According to a statement from Ncondezi, which is developing the solar photovoltaic (PV) and battery energy storage system (BESS) project in Tete, Mozambique, the agreement covers potential advisory services to accelerate the project up to financial close.

OKYO Pharma Ltd (LSE:OKYO, NASDAQ:OKYO) said its dry eye disease treatment has received clearance for its investigational new drug (IND) application from the US Food and Drug Administration (FDA) to initiate a phase 2 study.

First-in-human clinical studies of OK-101 are expected to open for enrolment in the first quarter of 2023, the biopharmaceutical company said.

Seeing Machines Ltd (AIM:SEE, OTC:SEEMF) said it received a contract for an additional programme for its FOVIO Driver and Occupant Monitoring System from an existing European Tier-1 vehicle manufacturing customer.

The programme, which carries an initial lifetime value of US$32mln (A$45mln), is scheduled to start production in 2024 and will see Seeing Machines' software embedded across a broad range of models, including entry level vehicles.

Revive Therapeutics Ltd (CSE:RVV, OTCQB:RVVTF) announced that it has submitted the Type C meeting request package to the US Food & Drug Administration (FDA) to obtain agreement on the revised protocol endpoints for the company’s Phase 3 clinical trial (NCT04504734) to evaluate the safety and efficacy of Bucillamine, an oral drug with anti-inflammatory and antiviral properties, in patients with mild to moderate COVID-19. Following the submission of the Type C meeting request package, Revive said it expects to hear from the FDA on a firm date for the meeting.

Think Research Corporation (TSX-V:THNK, OTCQB:THKKF) said it has granted 246,485 restricted share units (RSUs) to a key employee of the company under the company's omnibus equity incentive plan (OEIP). A total of 146,485 of the RSUs will vest one year from today's date, and 100,000 will vest two years from today's date. Each RSU represents the right to receive, once vested, one common share. Further, the company also announced that it has granted 1.06 million stock options to key employees of the company pursuant to the company's OEIP. The options will vest one-third annually over three years from December 21, 2022.

Maverix Metals Inc (TSX:MMX) has announced the details of a special meeting of shareholders in connection with the previously announced statutory plan of arrangement under which, among other things, Triple Flag Precious Metals Corp will acquire all of the issued and outstanding common shares of Maverix The special meeting will be held on Thursday, January 12, 2023, at 10.00am Pacific time in a virtual format. Shareholders of record as of the close of business on December 2, 2022, are entitled to receive notice of, to participate in, and to vote their shares of Maverix at the special meeting. Implementation of the arrangement is subject to the approval of: (i) at least two-thirds (66 2/3%) of the votes cast by shareholders virtually present or represented by proxy at the special meeting, voting as a single class; and (ii) because the Arrangement is subject to Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions, a simple majority (more than 50%) of the votes cast by shareholders virtually present or represented by proxy at the special meeting, excluding the votes of shareholders whose votes are required to be excluded pursuant to MI 61-101. In addition to the receipt of the requisite approval of Maverix shareholders, completion of the arrangement is subject to final approval by the Court and the satisfaction or waiver of the other customary conditions to completion.

BANXA Holdings Inc (TSX-V:BNXA, OTCQX:BNXAF) issued an update on the status of its trade cessation status, announcing that continued progress has been made with its auditor, RSM Canada, on completing its audited financial statements for the fiscal year ended June 30. The company expects the audit to be completed in the new year. Additionally, Banxa said it successfully signed and executed more than 30 paid integrations and token listing fees in October through December, good for an additional AUD$500,000 in gross profit margin contribution.
