Growing up with less has not stopped Dan Symons from reaching for the stars.

From the age of seven, the Canadian from the small town of Peterborough in Ontario delivered newspapers so he did not have to burden his family. Condor Gold PLC (AIM:CNR, TSX:COG, OTC:CNDGF) confirmed that it has raised gross proceeds of approximately £2.3mln through the issue of a total of 15,161,373 new ordinary shares under the open offer and placing launched on 5 December 2022.

Under the open offer, qualifying Condor Gold shareholders were able to subscribe for 1 new share in the company for every 6 existing ordinary shares held at the record date at a price of 15p each.

Northstar Gold Corp. (CSE:NSG) said it has closed the second tranche of its previously announced $1.6 million non-brokered private placement to fund exploration at its flagship Miller Gold property.

The second tranche raised gross proceeds of C$540,090, in addition to the first tranche gross proceeds close of C$905,100.21.

Silver Range Resources Ltd (TSX-V:SNG, OTC:SLRRF) said it has renegotiated and concluded a new option on the Legal Tender property in Royston Hills, Nevada, with QLM Royston Hills LLC.

The company said the property is located in the Republic Mining District, a silver-gold camp that produced briefly in the early 1900s.

Hillcrest Energy Technologies Ltd (CSE:HEAT, OTCQB:HLRTF) said it achieved significant progress in 2022, including the validation of its Zero Voltage Switching (ZVS) Inverter technology through the publication of two white papers.

Graphene Manufacturing Group Ltd (TSX-V:GMG, OTC:GMGMF) has announced two key appointments, with Lisa Roobottom taking on the role of its chief operating officer and Paul Mackintosh its chief health, safety, environment (HSE), quality, risk and sustainability officer.

The appointments are effective January 30, 2023, and February 6, 2023, respectively, the Australia-based clean-tech company said, adding that Roobottom and Mackintosh will be members of its senior executive leadership team reporting to CEO Craig Nicol.

Nano One Materials Corp (TSX:NANO, OTC:NNOMF) has announced the signing of a non-exclusive joint development agreement (JDA) on production process technologies for cathode active materials (CAM) for lithium-ion batteries with Belgian firm Umicore NV.

Under the agreement, Umicore will evaluate Nano One's patented M2CAM One-Pot process technology with the intention to integrate it with Umicore's proprietary process technology for the production of high nickel NMC (nickel, manganese, cobalt) CAM.

Zoglo's Incredible Food Corp. (CSE:ZOG) said it has arranged a non-brokered private placement offering of up to 2,429,260 units at a price of 3.11 cents per unit for gross proceeds of up to $75,550. Each unit consists of one common share of Zoglo's and one common share purchase warrant. Each warrant will entitle the holder to acquire one common share at an exercise price of 5 cents per common share for a period of 24 months from the closing date of the offering. The total proceeds of the offering are expected to be used for general working purposes. The securities issued under the offering are subject to a four-months-and-one-day hold from the closing date.

Candelaria Mining Corp. (TSX-V:CAND, OTC:CDELF) has announced the appointment of Manuel Gomez to its board of directors effective December 15, 2022. Gomez was previously a director of the company from March 17, 2016 until February 1, 2021. He Gomez worked as a Fund manager at UBS where he was responsible for a US$500 million fund investing in Spain and Portugal. He was a senior vice president at Credit Suisse Group and in 2008 founded Horizon Asset Management where he acts as CEO. Gomez has been involved in mining and alternative investments sectors since 2008. Mike Struthers, Candelaria CEO, commented: “Mr Gomez represents a significant shareholding in Candelaria, and brings a wealth of experience in the Mexican mining sector which will be highly valuable to the company in the future.”

Graduating to the OTCQX Market marks an important milestone for community banks in the US public markets. To qualify for OTCQX, community banks must meet high financial standards, follow best-practice corporate governance, and demonstrate compliance with applicable securities laws. Eric Sprott has acquired an additional 434,783 units of Stuhini Exploration Ltd (TSX-V:STU), through a private placement, at $0.23 per unit for aggregate consideration of $100,000.09. Each unit consists of one common share and one-half of one share purchase warrant, with each whole warrant entitling the holder to acquire one share at $0.35 for 24 months from the date of issuance. As a result of the acquisition, Sprott now owns and controls 3,234,783 shares and 217,391 warrants, representing approximately 9.3% of the outstanding shares on a non-diluted basis, and approximately 9.9% on a partially diluted basis assuming exercise of the warrants. Prior to the acquisition, Sprott owned and controlled 2,800,000 shares or approximately 9.1% on a non-diluted basis. The acquisition resulted in an ownership decrease, on a partially diluted basis, of approximately 2.7% since the last filing of an Early Warning Report and brings total holdings to under 10% on a partially diluted basis. As a result, Sprott and 2176423 Ontario Ltd. (a corporation he beneficially owns) ceased to be insiders of Stuhini Exploration.

LithiumBank Resources Corp (TSX-V:LBNK) announced the filing of the Boardwalk Lithium Brine Project Technical report entitled “Updated Indicated and Inferred Resource Estimates for LithiumBank Resources Corp’s Boardwalk Lithium-Brine Project in West- Central Alberta, Canada” effectively dated December 20, 2022, originally announced November 7, 2022. The Technical Report includes NI 43-101 Mineral Resource Estimates of 393,000 tonnes of Indicated Lithium Carbonate Equivalent (LCE) at a grade of 71.6 milligrams per litre (mg/L) lithium and 5,808,000 tonnes of Inferred LCE at 68.0 mg/L lithium. The report is available on www.sedar.com.

SpotLite360 IOT Solutions (CSE:LITE) announced that its board of directors has approved the settlement of $78,375 of debt through the issuance of company common shares. Pursuant to the debt settlement, the company issued 653,125 SpotLite360 common shares, at a deemed price of $0.12 per share, to a creditor of the company. All securities issued are subject to a statutory hold period, which will expire on the date that is four months and one day from the date of issuance.

Ximen Mining Corp (TSX-V:XIM, OTCQB:XXMMF) said it has closed the non-brokered private placement originally announced on November 4, 2022, by issuing 2,714,286 company flow through units, at a price of $0.07 per unit, for gross proceeds of $190,000. Each flow-through share consists of one common share plus one transferable common share purchase warrant, with each whole warrant entitling the holder to purchase, for a period of 60 months from the date of issue, one additional non-flow-through common share of the issuer at an exercise price of C$0.10 per share. The company said net proceeds from the offering will be used for exploration expenses on its British Columbia mineral properties. All securities issued in connection with the flow through offering will be subject to a hold period expiring April 22, 2023. The closing of this private placement financing is subject to final TSX Venture exchange approval.
