The Placing was arranged by Novum Securities Limited pursuant to a placing agreement entered into with them. In connection with the Placing, the Company has also agreed to issue 833,333 warrants over Ordinary Shares to a nominee of Novum Securities Ltd ("Novum") ("Broker Warrants"). Each Broker Warrant entitles the holder to subscribe for one Ordinary Share at the Placing Price and will be exercisable at any time for a period of one year from the date of Admission. Voting Rights
Following Admission, the Company's issued share capital will comprise 366,361,716 Ordinary Shares, each with one voting right. The above figure of Ordinary Shares may be used by Shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the Disclosure and Transparency Rules.
