As part of the dual listed company structure, Investec plc and Investec Limited notify both the London Stock Exchange and the JSE Limited of matters which are required to be disclosed under the Disclosure and Transparency Rules and the Listing Rules of the United Kingdom Listing Authority (the "UKLA") and/or the JSE Listing Requirements.

 

Accordingly, we advise of the following:

 

ADDITIONAL LISTINGS - INVESTEC PLC AND INVESTEC LIMITED

 

Investec plc announces that it has issued:

 

§ 6,857,159 new ordinary shares of GBP0.0002 each in the capital of Investec plc (the "New plc Shares") at a price of GBP3.29 to the trustee of the Investec plc Jersey Number 1 Trust (the "Investec plc Trust") to satisfy deferred non-cash awards made to qualifying employees as part of variable remuneration under the Investec 1 Limited Share Incentive Plan. 

 

The total number of issued ordinary shares in Investec plc is now 605,196,771.

 

At the same time, Investec Limited issued 3,618,943 new ordinary shares of ZAR0.0002 each in the capital of Investec Limited (the "New Limited Shares") at a price of ZAR43.78 to the Investec Limited Security Purchase and Option Scheme 2002 Trust, to satisfy deferred non-cash awards made to qualifying employees as part of variable remuneration under the Investec Limited Share Incentive Plan. 

 

The total number of issued ordinary shares in Investec Limited is now 279,639,164.

 

Approval has been granted for the admission of the New plc Shares to trade on the London Stock Exchange and admission to the Official List and the Johannesburg Stock Exchange and the admission of the New Limited Shares to the Johannesburg Stock Exchange, with effect from 14 June 2012.

 

The shares shall rank equally with the existing issued ordinary shares of Investec plc and Investec Limited.
