Personnel Changes At Hawthorne Gold Amid Private Placement
Hawthorne Gold (TSX-V: HGC, PINK: HWTHF) said today it will replace its CEO as a result of its private placement with Skyocean Ventures Investment, a company controlled by Hawthorne Gold shareholder Zheng Zhou.
On October 14, Hawthorne Gold announced it arranged a non-brokered private placement of roughly 90.9 million shares at 11 cents a share. Of the total, Skyocean Ventures Investment agreed to buy roughly 68 million shares, a deal later approved by Hawthorne shareholders in December.
If the deal closes this month as expected and Zhou exercises his Hawthorne warrants, he would become Hawthorne’s biggest shareholder with a 46.5% ownership.
Richard Barclay, Hawthorne’s current President and CEO, and Michael Beley, the company’s current chairman, has both agreed to step down at the closing of the private placement. They will both be replaced by Skyocean nominees, Shijia Tang and Jian Zhang, respectively.
Hawthorne also announced that its board has approved its name change to China Minerals Mining, which is subject to approval by the TSX Venture Exchange.
